The Senior Corporate Counsel, North America (Remote - US) provides a fast-paced, global organization with legal advice and solutions focused on optimizing business growth and organizational efficiency, while appropriately managing risk. This includes collaborating with internal business partners and negotiating and resolving complex legal issues in Iron Mountain’s customer agreements, partner and reseller agreements, and vendor agreements. This also includes advising internal business partners on strategic business initiatives.

Responsibilities:
 

As Senior Corporate Counsel, you will be part of Iron Mountain’s North America Legal team with responsibilities including, but not limited to:

  • Draft and negotiate commercial contracts (predominantly service agreements with Iron Mountain customers) of varying scope and complexity and support sales teams.
  • Advise business teams on a variety of complex legal issues arising within the technology and non-technology service offerings that Iron Mountain provides its customers.
  • Devise and apply creative contracting solutions to meet the company’s growth objectives.
  • Develop legal strategy for negotiations, clearly and concisely articulate legal and business positions, and negotiate directly with customers, partners and vendors.
  • Manage multiple deadlines in stride, as well as the expectations of internal clients and external customers.
  • Provide pre-litigation guidance on customer disputes, and work with internal clients and external customers to resolve.
  • Draft and negotiate vendor agreements, working with our business partners and Procurement team.
  • Thrive in a fast-paced environment and enjoy working collaboratively as a partner with a variety of internal business teams including Commercial, Operations, Global Contract Support, Information Security, Risk, Privacy and Compliance, Procurement and others. 
  • Lead initiatives within the Legal Department, working with other cross-functional teams and global legal colleagues, aimed at developing streamlined approaches to legal workflows to increase speed and efficiency to the organization.
  • Provide guidance and leadership on contracting best practices, templates and language playbooks.
  • Provide legal training to internal clients, as needed.    
  • The Senior Corporate Counsel role requires a Juris Doctor degree from an accredited law school in the U.S., bar admission in at least one U.S. state
  • 5 - 8 Years of experience (no more than 8  years will be considered) as a commercial  attorney drafting and negotiating complex business-to-business transactions for a private sector company or client, preferably with in-house experience, and functional knowledge/skills in the following areas:

Skills:

  • Strong knowledge of contract law, contract risk mitigation strategies and the ability to draft creative and nuanced solutions to contracting challenges in customer, vendor and partner agreements. Knowledge of privacy law is a plus.  
  • Superior negotiation, drafting and oral/written communication skills. 
  • Experience negotiating and drafting complex customer agreements and supporting sales teams is strongly preferred.
  • Experience with SaaS agreements is helpful. Experience with data privacy agreements is also helpful.
  • Ideal candidate is someone ascending in their career trajectory who thrives working on high visibility commercial transactions with Fortune 500 customers.
  • Proven track record of consistently delivering timely results, while juggling substantial workload with varying time pressures.
  • Strong analytical skills to identify issues from both legal and business perspectives, and the ability to clearly and succinctly articulate solutions through a pragmatic, business-oriented lens.
  • Self-starter who is self-motivated and flexible, and thrives in a fast-paced and ever-changing environment.Proven ability to work collaboratively within teams, but with the confidence and efficiency to work autonomously.    
  • An engaged partner who is focused on excellent service to our internal and external customers.
  • Intellectually curious and willing to take on new challenges and responsibilities.
