Job Description: 

Position Summary:
Drafts, negotiates and interprets sales and purchase contracts, licensing and other agreements, counselling business leaders on risk, deal structuring and negotiation strategy. Advise on compliance with contractual responsibilities, company policies and applicable laws/regulations. Advises on real estate, employment, industrial, technology, procurement and intellectual property matters. Manages litigation and legal operations, including external counsel. Manages corporate governance program, including drafting policies, training employees, overseeing worldwide legal entities, and creating and maintaining accurate records. Supports human resources, corporate procurement, IT, finance, treasury and risk management activities. Works on mergers, acquisitions, divestitures and investments. Assists with Board matters and liaises with parent company regarding its reporting and disclosure requirements and other corporate/shareholder matters. Advises on applicable potential and current legislation and informs clients about relevant laws or changes. Assists with government relations and regulatory agency interactions. Conducts or assists in internal investigations.

Four year college degree (or additional relevant experience in a related field). Minimum 10 years functional experience including a minimum of 5 years position specific experience. Ability to make significant contributions to the company.
 

Responsibilities

The successful candidate will be based in Thailand and will report to the Director & Senior Legal Counsel in Singapore. In your role as Legal Counsel, you will work closely with the business units and support functions on a variety of legal matters including contract review, corporate secretarial, advising on regulatory matters, marketing activities, disputes, and corporate law issues. Responsibilities include reviewing, drafting, and negotiating sales, non-trade, distribution, marketing, sponsorship, and various commercial agreements. This role will also provide strategic legal advice and support to key stakeholders within the business in Thailand with the occasional need to support the ASEAN & HK business. From time to time, you will also be involved in ad hoc commercial and legal projects of various nature which could include setting up new businesses and creating legal templates and processes.

Basic Requirements

• Hold Bachelor/Master’s degree of Law
• Formal qualification in Law and admitted to practice law in Thailand or any other common law jurisdiction.
• At least 15 years post-qualification experience, preferably in private practice and in-house, working in law firm is a plus
• Obtained Attorney-at-Law License
• General commercial experience and exposure to a range of issues.
• Litigation and dispute resolution experience.
• Strong drafting skills and negotiation experience.
• Ability to work in a fast-paced, dynamic, evolving environment.
• Highly proficient in English and Thai language (in speaking, reading, and writing).
• Excellent verbal, written, and interpersonal communication skills.
• Ability to work collaboratively with multiple stakeholders from a range of experience levels.
• Ability to adapt to changes and to diverse cultures and individuals.
