Linklaters LLP seeks Associate (Mid-level) in New York, NY to draw up legal documents, structure and implement complex credit agreements, security agreements and various other legal documents concerned with structuring and implementing corporate transactions. Coordinate with specialists and junior associates as part of legal due diligence process to assess the potential risks of transactions and advise clients on transaction structure. Draft and negotiate various transaction documents, including confidentiality agreements, stock purchase agreements and asset purchase agreements to reflect the client’s commercial needs and negotiation results. Advise on legal research and review legal memoranda and briefs on issues arising in a broad range of corporate legal transactional matters, including domestic and international mergers and acquisitions, transactions, company formations, general corporate advice, and joint ventures. Prepare due diligence questionnaires and risk assessment memos for hedging banks in connection with their contemplated offering of currency hedging services in high profile M&A transactions. Review all aspects of proposed transactions in light of corporate objectives and applicable law and advise client organizations in a timely manner on contracts and business risks and alternative actions as required. Leverage firm-specific and tailored knowledge of the Firm's best practices and procedures to provide clear direction and leadership to junior associates and law clerks. Supervise juniors in various workstreams, including due diligence of corporate documents.

J.D. or foreign equivalent. Experience in job offered or related occupation must include at least three (3) years of experience at an international law firm: drafting and preparing corporate legal transactional documents, including stock purchase agreements, confidentiality agreements, board and stockholder resolutions; working on corporate legal transactions for domestic and international clients, including equity acquisitions and public M&A transactions; coordinating due diligence workstreams and assisted with M&A closing transactions; advising private and publicly-listed clients on housekeeping and corporate governance matters and day-to-day contract templates; advising on U.S. federal securities laws issues and preparing related securities filings utilized in complex M&A, highlighting to clients on-going SEC reporting considerations; working on capital markets and banking transactions including drafting and preparing documentation for bond offerings and debt restructuring, providing legal advice on the structuring and execution of capital markets and banking transactions; and drafting and negotiating documents for syndicated loans and bilateral loans, conducting due diligence for loan transactions, advising on regulatory compliance related to banking laws, and coordinating with financial institutions and other stakeholders. Telecommuting and/or working from home may be permitted according to company policies. When not telecommuting, employee must report to worksite. Must be admitted to practice law in the State of New York.

The base salary range offered for this role will be between $260,000 and $365,000 per year, 40 hours per week, and represents the firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate’s relevant experience, performance, qualifications, as well as the needs of the firm. The total compensation package for this position may include discretionary bonuses and other benefits.
