Job Description

Job Purpose

This role partners closely with members of the Legal Department as well as with other organizational stakeholders (e.g. IT, Treasury, Accounting) and external partners (e.g. consultants and/or technology suppliers) to design, develop and implement legal operations solutions that improve efficiency, reduce cost and improve service delivery, with an emphasis on corporate governance and compliance and corporate securities and finance-related processes.


Roles & Responsibilities

  • Serves as an administrator and technical expert for the company’s subsidiary management software, including assessing current design and utilization, identifying opportunities for improvement, project managing implementation of changes/new practices, and guiding and training end users across functions and regions.
  • Facilitates and participates in Practice Group meetings and interviews internal customers (practice leads, attorneys, paralegals, and other partners) to capture, synthesize and prioritize requirements for solution design, development and implementation. 
  • Supports legal operations team in creating and presenting legal solution proposals and business plans to legal leadership and in managing the design, development and implementation of solutions.
  • Works closely with Legal Department clients to coordinate major schedules, project budgets, project milestones, and project deliverables. Evaluates the resources needed to accomplish the objectives within the agreed timeframe and establishes the staffing plan for each project, using a combination of internal and supplier expertise. Conducts operational meetings throughout the course of a project to provide feedback and get input from key stakeholders.
  • Prioritizes programs and projects based on business needs, Legal Department needs, resource capacity, risk exposure and interdependencies.
  • Uses communication skills to build commitment to the projects and negotiate compromises, and resolve conflicts, as needed.
  • Ensures Practice Groups are supported with technology to allow the most efficient and effective legal services, proper controls, and client satisfaction.
  • Monitors efficient/effective use of technology, including identifying and evaluating emerging technology and makes recommendations regarding tools and systems reflecting best practices/latest standards.
  • Creates and analyzes dashboards and data analytics to evaluate process efficiency and identify areas for optimization. Works collaboratively with Practice Group leaders to ensure they have the right data and application configurations to facilitate evaluation.

Qualifications

Required:

  • Bachelor’s Degree in business administration, information technology, organizational development or another relevant discipline.
  • 5+ years of experience working with corporate governance processes and subsidiary compliance management and associated documentation (minutes, annual meetings, elections, director and officer changes, delegations of authority, transaction approvals).
  • 5+ years of experience successfully applying technology to improve efficiency and service delivery, including 2+ years managing technology solution implementation and/or business process improvement projects.
  • 3+ years of experience working with subsidiary management systems (e.g. CSC, GEMS, Diligent Entities).

  • Tech savvy, ability to quickly learn new tools to keep up with rapidly changing legal tech environment.
  • Advanced knowledge of MS Office Word, Excel, PowerPoint, Access, Outlook and Visio.
  • Advanced knowledge of subsidiary management software (e.g. CSC, GEMS, Diligent Entities).
  • Strong requirements identification; process mapping, documentation, and optimization skills.
  • Ability to deeply comprehend business problems from legal Practice Groups, develop priorities, and recognize opportunities for process improvement.
  • Excellent analytical skills and ability to assess risk and reach well-reasoned conclusions.
  • Strong project management skills and ability to navigate and resolve diverse and complex issues in imaginative and effective ways. Able to manage multiple concurrent projects.
  • Strong leadership, collaboration, communication, interpersonal, analytical/problem-solving skills, and attention to detail.
  • Ability to work collaboratively with leadership and contribute meaningfully to strategic planning initiatives. Ability to influence outcomes when identifying/assessing innovative opportunities, presenting plans, and building support for process improvement.
  • Ability to build strong relationships, working with cross-functional teams and technical resources across many levels of the organization.
  • Ability to communicate professionally, clearly, and concisely, both verbally and in writing. Skilled at translating complex ideas into clear, high impact communication.
  • Very strong organizational skills and extreme attention to detail.
