General Information:

Hitachi Energy Grid Integration Business line has an opening for a Senior Legal Counsel to support the business in US, based in Raleigh, North Carolina. You will be an integral member of the North American Grid Integration legal team responsible to provide professional advice on a broad range of legal topics relating to the Grid Integration Business Unit, including high value complex tenders and projects (i.e., HVDC Interconnector, offshore wind projects, Grid and Power Quality Solutions, etc.), in full compliance with Group directives and instructions as well as local statutory provisions. This position reports directly to the Lead Legal Counsel Grid Integration, North America.

Your Responsibilities:

  • Provides solid legal advice and counsel as member of the Grid Integration legal team over a broad range of issues affecting the Grid Integration business, especially in connection with front end transactional activities during the bid and tendering phase and for projects under execution within the portfolio of domestic complex power infrastructure projects, in domestic and international legal aspects, in particular contract law.
  • Identifies legal issues of concern in connection with Grid Integration projects and proactively develops effective legal strategies, mitigation actions and practical solutions in support of such projects and related business activities.
  • Supports all legal aspects in connection with the tender preparation, risk identification, negotiations of contracts, framework agreements, consortium agreements, settlements, financial instruments, major procurement contracts etc. all in coordination with the business partners and other key internal stakeholders.
  • Protection and enforcement of company policies and company interests in internal activities and negotiation with third parties.
  • Collaboration with legal teams globally, as well as with interdisciplinary project teams.
  • Promotes dispute avoidance and supports project management in the management of claims liaising with contract management and internal Litigation Center of Excellence and external law firms as required.
  • Ensuring integrity and compliance with applicable laws and regulations as well as Company internal regulations in various fields, in particular without limitation competition law, bribery & corruption.
  • Promotes ethical conduct in compliance with company legal and integrity directives/instructions.
  • Presentation of legal risks in collaboration with the business in company internal risk reviews, Risk Management and other internal processes.

Your Background:

  • Juris Doctorate degree and admission to the bar within a United States jurisdiction.
  • Candidate must already have work authorization that would permit them to work for Hitachi Energy in the United States.
  • Minimum 8+ years of corporate in house or law firm experience in the United States relating to grid system or major utilities construction/ engineering projects with a successful track record of handling complex corporate and commercial transactions as well as significant claims and settlements.
  • Fluent in English. Proficiency in any additional language is a plus.
  • Knowledge of governmental and commercial regulations and practices.
  • Knowledge and experience with project financed and utility scale EPC and other agreements (bridging agreements, EPC-M, consortiums, etc.) used in the on shore and off shore contracting businesses. 
  • Knowledge of public procurement laws / FAR / Buy American / Build American is a plus.
  • Excellent communication, drafting of contracts and negotiation skills.
  • Trusted business partner and team player.
  • Demonstrated ability to work under pressure.
  • Ability/willingness for some travel as business needs may dictate from time to time.
  • Location: North American Headquartered in Raleigh, North Carolina.
