Job Description:
Perkins Coie LLP is looking for a talented and dynamic individual to join our team as a Senior Corporate Paralegal with our Emerging Companies & Venture Capital practice group. The Senior Paralegal will, under minimal supervision, assist lawyers and clients with a variety of high-level corporate and transactional paralegal duties. They will also maintain positive contact with clients, observe confidentiality, and oversee corporate maintenance for a large number of clients across many industries.
In addition, as a member of the Perkins Coie LLP business professional support team, this position is also responsible for promoting and maintaining the goodwill and reputation of the firm. In this capacity, the Senior Paralegal is expected to maintain the highest level of professional conduct and confidentiality.
ESSENTIAL FUNCTIONS
These essential functions are primary job duties that incumbents must be able to perform unassisted or with some reasonable accommodation.
- Maintain client confidentiality and positive client relationships.
- Draft and file incorporation, formation, amendment, dissolution, and withdrawal documents for Corporations, LLCs, LPs, and LLPs.
- Conduct and analyze UCC searches; prepare UCC-1 and UCC-3 financing statements.
- Maintain organized records for corporate entities, including ownership ledgers and state/federal filings.
- Prepare and distribute corporate documents, certifications, and UCC statements.
- Draft agreements for securities transfers.
- Manage closings for financings, mergers, and acquisitions.
- Conduct corporate diligence reviews and summarize findings.
- Organize and maintain electronic data sites; manage shareholder mailings and regulatory filings.
- Conduct factual research and analysis on statutory requirements.
- Train and supervise other paralegals; coordinate workloads.
- Work with external vendors to manage attorney and client requests.
SPECIFIC SKILLS REQUIRED
- Excellent organizational, analytical, and communication skills.
- Accurate time record-keeping.
- Ability to establish effective working relationships with lawyers, staff, and clients.
- Proficient in proofreading, redlining, and document comparison.
- Strong knowledge of California and Delaware corporate law, federal and state securities laws, and private company M&A.
- Proficient in Microsoft Office Suite, Adobe Acrobat, and Excel.
- Fluent in Carta, Shareworks, or other capitalization management platforms.
- Ability to take initiative and exercise discretion and independent judgment.
SPECIFIC SKILLS PREFERRED
- Experience in IPO and public company matters, including beneficial ownership tables, Section 16 reporting, Rule 144, and legend removal letters.
- Experience with secured lending is a plus.
EDUCATION AND EXPERIENCE
- 7–10 years of experience as a corporate paralegal with public and/or privately held companies.
- 4-year degree in a related field or equivalent required; paralegal certificate or degree preferred.

This position may be filled in the following location(s). The listed compensation range reflects the typical pay for this role, though it is rare for new hires to receive an offer at the top of the range. Actual compensation may vary depending on experience, skills, market conditions, and internal equity.
San Francisco Bay Area compensation range: $89,810 to $202,070 annually
Los Angeles compensation range: $81,940 to $184,370 annually
Washington state compensation range: $74,220 to $167,000 annually
