We’re hiring for a Senior Corporate Paralegal who will play an integral role with the Global legal team, working with attorneys in practice areas such as corporate governance, contracts, transactional support (financings and M&A), and regulatory filings.

The Types of “Energy” You Bring -
- Knowledge of corporate governance and domestic and foreign entities
- Familiarity with SEC regulations and researching and preparing public company filings
- Ability to maintain positive and cooperative relationships with legal staff, peers and clients.
- Intermediate or greater knowledge of Microsoft Office Suite programs.
- Knowledge of legal practices and terminology.
- Ability to handle multiple tasks from multiple project supervisors.
- Excellent oral and written communication skills.
“Gauges” of Responsibility -
- Maintaining corporate record books, filing annual reports and UCC statements, preparing certain governance documentation such as written consents, secretary’s certificates and organizational documents and resolutions for various types of entities, and updating corporate organizational charts and corporate data sheets.
- Assisting in public reporting and regulatory compliance, including timely SEC filings such as Forms 8-K, 10-K,10-Q and Section 16 filings, NYSE and FINCEN reporting requirements (as may be required), and the preparations for such filings. This responsibility will also include assisting with KYC responses.
- Assisting with the preparation and delivery of Board and Committee meeting materials.
- Developing and maintaining files, databases and systems to collect, store and retrieve data from transactions, vendor contracts, litigation, union agreements, personnel matters, etc. This responsibility will include coordinating file transfers to new platforms, and assisting with enforcement of data and file retention and privacy policies.
- Developing, maintaining and administering data rooms as needed for M&A and financing transactions (public and private).
- Preparing legal forms and templates; drafting, reviewing and editing legal documents such as contracts, agreements, notices and other business communications.
- Supporting trademarking, licensing and branding activities.
- Preparing audit support materials.
- Performing such other duties as are typically assigned to a senior corporate paralegal.

Additional Requirements
- You’ve earned a bachelor’s degree and/or paralegal certificate
- You have at least 7-10 years of corporate paralegal experience
