Title: Senior Corporate Development Manager 

Department: Business Operations/Finance

Reports To: Chief Financial Officer

FLSA Status: Exempt

Location: NY, New York. Recommended to be onsite at least 2 days per week

Job Summary

The Corporate Development Sr. Manager will lead in the evaluation and execution of Merger & Acquisition transactions, identify potential partners that fit the company's brand and strategy, and other meaningful external engagements that support Prove’s mission and company goals. This role will work globally across all aspects of the deal process including qualitative and quantitative analysis to support targeting, preparing deal overviews and recommendations to senior management, financial modeling, due diligence, transition and post-merger integration, and investment performance tracking. The ideal candidate should have a strong work ethic and be comfortable working in a fast-paced environment, often supporting multiple projects in parallel. The Corporate Development Sr. Manager will report to the Chief Financial Officer..


Key Responsibilities:

  • Partner with senior leaders in driving strategy and solutions for complex strategic questions with engagement from business executives, subject matter experts and cross-functional teams. Distill complex findings and build clear and compelling business cases for review by Prove’s executive team and Board of Directors
  • Evaluate potential acquisitions, investments, strategic partnerships and other external opportunities from a qualitative and quantitative perspective
  • Learn about the ecosystem of companies that could be potential acquisition opportunities or partners; report to senior leadership on potentially valuable acquisitions
  • Attend relevant conferences and events to learn about the ecosystem and build relationships with relevant companies
  • Manage deal processes from end to end, including being the relationship owner, negotiator and external face of Prove in significant partner relationships
  • Drive deal diligence, integration planning, documentation and implementation
  • Manage post-close integration planning and execution
  • Assist in structural fundraising efforts
  • Do all of the above independently, drawing on your past experiences and strong conceptual thinking to determine solutions to net new questions
  • Partner with the Business Operations team to create more infrastructure and organization with our existing and future partners, and develop a strategy to optimize results and costs
  • Assist the CFO with a variety of other cross functional projects including developing an AI strategy, OKRs, and other initiatives

Qualifications and Experience:

  • Deep understanding of the industry, market dynamics, and competitive landscape 
  • Excellent communication, negotiation, and interpersonal skills to build strong relationships with clients and partners 
  • Analytical skills to evaluate market opportunities, assess risks, and develop effective business strategies 
  • Expertise in proposal writing, presentation development, and contract negotiation 
  • Proficiency in CRM tools and data analysis to track sales performance and identify trends
  • Promote, maintain and enhance our cultural values of humility, passion, inclusion, and leadership.
  • Strong passion for learning about our products and markets through in-house and external training.
  • Experience in high-growth /pre-IPO Technology companies
  • Willingness to travel to meet potential targets

The anticipated salary range for this role is $160,000 - $170,000 plus company bonus. Offered salary will be determined by the applicant’s education, experience, knowledge, skills, geo-location and abilities, as well as internal equity and alignment with market data.
