Private Investment Funds at Goodwin
Our market-leading private investment funds team advises clients across all asset classes including, private equity, real estate, debt, venture, secondaries, emerging markets and infrastructure. Our funds team is recognised as one of the strongest, largest and most experienced in the European market, recently closing over 48 funds worth £21bn+.
The Role
As part of our continued growth in London, we are looking to add a paralegal to the team.
This role is on a fixed term contract, up to 31 August 2025.
Responsibilities
Responsibilities include, but are not limited to:
Establishing the Fund:
• Incorporate companies and LLPs, and register limited partnerships with Companies House.
• Draft initial limited partnership agreements and ancillary documents.
• Coordinate with non-UK counsel for establishing vehicles in other jurisdictions (e.g., Luxembourg, Jersey, Guernsey, Cayman).
• Liaise with US counsel regarding entity classification, Form D filings, and other requirements.
• Draft management/advisory agreements and migration documents.
• Obtain and summarize marketing advice from relevant jurisdictions.
• Assist with regulatory and marketing applications (e.g., FCA/AIFMD).
Pre-closing:
• Review executed subscription agreements for accuracy.
• Compile and track investor comments and negotiation status.
• Communicate regularly with clients regarding status.
• Identify and resolve potential issues within subscription agreements.
• Assist with research, KYC/AML documentation review, and drafting ancillary documents and board minutes.
• Track investor conditions to closing.
Closing:
• Conduct company and winding up searches for legal opinions.
• Coordinate the signing and organization of documents.
Post-closing:
• Prepare investor emails with relevant documents.
• Collate and produce closing binders.
• Prepare master side letters and assist with the MFN process.
• Review investor responses and arrange for relevant filings.
Ongoing Fund Work and Miscellaneous Tasks:
• Prepare transfer documents for investor transfers and handle Companies House filings.
• Prepare fee updates for clients and assist with terms benchmarking exercises.
• Prepare investor consents and other documents for changes to fund documents.
• Assist with steps necessary to wind up funds.
• Prepare pitch documents and assist with other marketing initiatives.
Key Requirements
The minimum level of education, experience and certifications acceptable for the position:
• Law degree or Post- Graduate Diploma in Law essential. Equivalent qualifications from other common law jurisdictions considered.
• Private investment funds experience preferred but not essential.
