Corporate Paralegal

Overview
ID.me is seeking a Paralegal (Corporate and Contracts) to join our team and help provide legal services on a wide variety of corporate matters. This role will have an immediate and lasting impact on our operations, guiding us toward positive outcomes with comprehensive document creation, database maintenance and legal/regulatory research.

Responsibilities
- Review and amend commercial agreements, non-disclosure agreements, and other business critical contracts under the supervision of counsel.
- Review agreement requests from the team, seek clarifications, and ensure that all supporting documentation and approvals are complete.
- Escalate major issues or changes to the legal team for review.
- Provide support related to incoming subpoenas, disputes, litigation, and member support while maintaining a high level of confidentiality.
- Assist in maintaining a system for tracking contracts and related documentation
- Support the team with contract initiation, implementation, and closeout activities.
- Quickly handling special projects as assigned, e.g. conducting research into state and federal laws or cases, assisting with state foreign corporation registrations, data breach reports.
- Manage deadlines and relevant calendars.
- Assist with obtaining and maintaining corporate filings.
- Support the team with general corporate work, which may include organizing and maintaining legal folders.
Qualifications
- Bachelor’s degree.
- 5+ years of experience as a Corporate Paralegal; will consider law-firm experience if highly knowledgeable of capitalization charts and shareholder stock certificates.
- High proficiency in document editing and Microsoft Office, Google Suite, and Adobe.
- Ability to independently prioritize and make necessary changes to documents without assistance.
- Excellent verbal and written communication skills, and the ability to collaborate with team members and other departments.
- Paralegal certification strongly preferred.
- Knowledge of Salesforce is a plus.
- Virginia notary or willing to become a notary.
