The Opportunity

The position will advise TC Energy’s U.S. Natural Gas Pipelines business, including Commercial Operations, Regulatory Affairs, Marketing, Business Development, Compliance, and Government Relations. The scope of work encompasses complex commercial and FERC regulatory matters related to the development and operation of TC’s U.S. pipeline infrastructure. The position will report to the Director of Regulatory and Operations Law in the U.S. Natural Gas Pipelines Law department.

What you’ll do

  • Advise business teams, including senior leaders, concerning regulatory and commercial legal matters

  • Represent TC Energy in federal and state regulatory and administrative proceedings, including rate proceedings, technical conferences, settlement conferences, the drafting of pleadings, and coordination of discovery

  • Provide legal support in connection with negotiation and performance of commercial and operational agreements, including natural gas transportation agreements, storage agreements, letters of intent, term sheets, precedent agreements, facility and interconnect agreements, credit support agreements, and confidentiality agreements

  • Provide legal support and guidance on business development initiatives, including potential expansions and greenfield projects, as well as in connection with open seasons for capacity on our pipeline systems

  • Develop standardized contract forms and department procedures

  • Provide legal support and training related to compliance matters, including the Federal Energy Regulatory Commission Standards of Conduct

  • Mentor junior attorneys and support staff

  • Supervise external legal counsel within approved budget limits

  • Participate in industry trade groups and association committees on legislative and regulatory issues that impact TC Energy.

Minimum Qualifications

  • Juris Doctorate from ABA accredited law school

  • Active license to practice law in the U.S.

  • Undergraduate degree from an accredited college or university

  • Minimum 10 years of relevant legal experience

  • In-depth knowledge of the natural gas pipeline business, including applicable federal and state laws and regulations

  • Experience with Federal Energy Regulatory Commission regulation (rates, tariffs, and procedural matters) and the siting and permitting of natural gas pipelines

  • Experience in proceedings before the Federal Energy Regulatory Commission and other U.S. state and/or federal regulatory bodies and tribunals and/or equivalent relevant litigation experience.

  • Ability to analyze complex matters and propose creative and practical solutions

  • Excellent communication and advocacy skills (oral and written)

  • Excellent organizational skills and an ability to support multiple client groups

  • Excellent interpersonal skills and the ability to work independently and in a team environment

  • Ability to work with senior commercial leaders

  • Ability to coordinate issues with other legal and business functions

  • Limited travel required.
