Basic Functions
The Investment Management Group is seeking a Knowledge Management and Innovation Specialist to play a key role in enhancing client service, strengthening brand recognition, and improving overall operational capabilities across the firm. This position will focus on driving greater efficiency by standardizing work products, developing, and maintaining forms, streamlining fund formation processes, and organizing the firm’s institutional knowledge. Additionally, the role will involve integrating technological innovations to improve workflow processes and ensure consistency across the group.

This is an excellent opportunity for someone with at least five years of experience in investment/private funds who is looking to transition into a specialist role.


Essential Duties


Investment Management Form Maintenance & Resources:

  • Maintain (i) deal sheets and (ii) spreadsheet of deal terms. Prepare and maintain master spreadsheet of various offering document provisions (e.g., risk factors; carried interest; management fees) and management level document provisions (e.g., tags, drags, calls, vesting). Develop and maintain internal guides on common key negotiated terms in PPMs and LPAs. Identify which ones are market/common, manager vs. investor friendly, and deal specific/complicated concepts.

  • Work with BT Marketing Group to track our group’s fund launches and key features that an attorney would want to know when looking for precedent. Categorize by client, structure, investment strategy, opposing counsel, currencies, jurisdictions, etc. to allow for easy sort/filter.

  • Update and maintain the group’s form library for various fund structures, including management-level entities, hedge funds, private equity funds, and venture capital funds.

  • Work collaboratively across the firm to develop and maintain form policies for investment managers (e.g., privacy policy, insider trading policy, anti-money laundering policy) that can be tailored to the specific needs of each investment manager’s business.

Technology Innovation and Incorporate technology to improve efficiency:

  • Maintain awareness of legal technology market across the industry including tools utilized by other practices groups to evaluate for applicability to, or usefulness for, our section.

  • Automate data mining and other workflow processes using light coding programs, including Power Automate, SharePoint, Power BI, Power Query, and NetDocuments to gather historical deal points and information.

  • Using automation systems to quickly generate closing checklists, signature pages and closing binders. Immediately following closing, utilize technology to be able to send client a link to a completed, easy to use, closing binder. Ensure that our firm is meeting client expectations by keeping a list of all client-internal requirements.

  • Assist in creating a database of closing binders to allow attorneys to mine information. Prepare consistent naming conventions and protocols, so that attorneys can quickly search deals for specific terms.


Provide Dedicated Investment Management Training:

  • Maintain a curriculum for training on fund formation and investment management concepts for all new investment management associates. Topics include creating streamlined checklists; fund formations, including drafting offering documents; regulatory considerations; preparing regulatory filings; side letters; seed arrangements; practice tips on how to delegate tasks to paralegals and staff attorneys; and providing client services.

Regulatory Developments:

  • Monitor and research all investment management rule proposals and legal changes; maintain tracker of proposals, impact, and status; ensure that forms are promptly updated to reflect any final rules.

  • Prepare client alerts and monthly IM newsletter. Stay up to date on other firm publications and alerts and industry news and assist with our group's writing and speaking efforts.

Client Specific Inquiries:

  • Track and organize responses to client inquiries that involve nuanced aspects of the practice. For example, if a registered investment adviser launches a new fund in December, determine whether that fund must be audited for the year to comply with the Custody Rule. After researching and resolving such issues, institutionalize this knowledge to ensure it can be easily shared across the group.

  • Maintain a catalog of work products, including client memos on regulatory topics, so practice group attorneys can quickly locate and reference our collective institutional knowledge.

Market Trends:

  • Gather data from various sources with respect to market outlook, forecasts, and trends. Identify where the market currently stands, where the market is headed, and provide ideas for articles, speeches, and presentations.

External Relationships and CLEs:

  • Build and maintain a list of service provider referrals.

  • Coordinate CLEs on various topics. Any knowledge that we institutionalize (via a guide, summary, resource folder, etc.) can also be a candidate to be turned into an external publication and into a presentation internally for CLE credit.

Qualifications

Knowledge/Experience

  • 5+ years of experience in an investment management/private funds practice.

  • Interested in maintaining both strong drafting skills and a significant regulatory practice.

  • Attentive to detail and highly organized.

  • Capable of ensuring integrity of data and document management.

  • Interested in working within the intersection of practicing law and technology, including learning, and implementing novel technical methods (e.g., Power Automate, Power Query).

Education

  • BA, BS, or equivalent undergraduate degree.

  • JD from accredited law school required.

Working Conditions:

This position can be based in any of our offices located in New York, Texas, or California.

Salary Range

The expected salary range for this position in New York and California is $150,000 – 200,000.

Please note that the final offer amount may vary based on experience and skillset of the selected candidate.
