Job Summary
Thrive is seeking an outstanding Commercial Counsel with experience negotiating commercial contracts. Reporting directly to the VP & Associate General Counsel, the Commercial Counsel will be a member of a lean legal team and serve as a subject matter expert for commercial contract matters and assist the AGC and other members of the legal team on an as-needed basis with a variety of contracts or other legal affairs. The Commercial Counsel will primarily negotiate and draft customer-related agreements and NDAs, provide legal advice to non-lawyers, manage vendor contracts, and participate in the creation of contracting resources.
The role requires collaboration with sales and internal teams to address legal needs and improve departmental processes; and a team player who can provide high-caliber, detailed, and sometimes creative work product with minimal supervision in a fast-paced, high-energy environment.
Responsibilities
The person in this role will regularly review, prepare, and negotiate documents necessary to protect Thrive’s contractual posture with adherence to company policy and applicable laws and regulations; perform general contract management and administration responsibilities; provide interpretation of terms and conditions and advise management of contractual rights and obligations. The primary functions will consist of:

Performing functions necessary for all phases of contract management from cradle to grave, including but not limited to business development support, contract formation, negotiation, contract execution, administration, change order management, termination, and closeout

Identifying and mitigating risks connected with non-standard conditions and 3rd party changes in proposed contractual documents

Suggesting alternatives that lead to optimal solutions

Monitoring and tracking contract performance and proactively identifying/addressing potential risk areas or other problems that could have an adverse impact on the company

Participating in contract reviews and contracts-related meetings with internal and/or external customers

Developing and maintaining positive customer relationships, both internally and externally, and supporting existing business as well as the generation of additional or new business opportunities

Ensuring sales contracts and other agreements are managed in accordance with company policies and procedures, applicable laws and regulations, and customer requirements

Reviewing and preparing various business agreements, documentation, correspondence, forms, and reports which may be required to support business development activities, solicitations, contract awards, subcontract awards, and related activities

Maintaining contract files and records, manage archive records, and maintain contract information in various databases

Assisting with policies and procedures for contract management and contract tracking
The Commercial Counsel will also:

Consult with the legal and other departments as needed to ensure the company has preserved its rights, while limiting its liabilities

Provide clear and pragmatic legal advice to non-lawyers on contract terms, including any applicable requirements due to regulations (data privacy, HIPAA, SEC or other regulatory requirements

Develop a close working relationship with business stakeholders to facilitate efficient and effective review of agreements and deliver solutions-oriented legal advice across internal functions

Educate, counsel, and train business owners and senior management on identified legal, regulatory and compliance risks

Advise and assist with Thrive’s general legal needs as needed

Expedite and review contracts from company’s suppliers, customers and other third parties

Develop and continuously review and assess standard form contracts and contract strategies to reduce sales friction

Work with Thrive’s legal team on general corporate matters

Participating in the resolution of contract disputes, audits, and other contract matters; and perform other duties as assigned by management
Additional responsibilities will be dictated by the business, changes in laws or workflows, and assigned accordingly by the manager. Such additional tasks may include legal research, formal responses to both internal and external customers, assisting with Thrive’s various debt collection matters and compliance obligations, or otherwise.
Requirements

BA/BS degree and JD required, with 3-5+ years of experience in Corporate/Contract Law, Contract Management & Negotiation in the high-technology, commercial and international industries. Experience in a law firm, legal department, software or information technology company is preferred

Expert level knowledge of contract principles specific to commercial contracts; experience involving (technology-based) subscription services for fast growing company strongly preferred

Detail oriented with high level of accuracy

Ability to communicate effectively and must have strong written and verbal communication skills

Strong organizational skills and ability to review and manage voluminous contract files, correspondence, and maintain information in electronic databases

Strong time management skills with ability to work well under pressure, multi-task, and handle multiple priorities

Self-motivated and good level of focus/concentration with ability to prioritize, follow-through, and complete tasks on time

Ability to exercise good judgment and handle confidential and sensitive issues.

Excellent analytical and problem-solving skills

Ability to work independently and as part of a team. Able to effectively deal with a high-volume workload, rapid cycles, multiple assignments, concurrent deadlines, and changing priorities, with flexibility to work outside of business hours with geographically dispersed colleagues, customers and suppliers

Strong computer skills with advanced working knowledge of AdobeSign, Microsoft Word, Excel, and SalesForce tools
