Greenberg Traurig’s global Capital Markets Practice is recognized for its skill in handling U.S. and cross-border transactions, including initial public offerings, registered direct offerings, at-the-market offerings (ATMs), public and private equity line transactions, Special Purpose Acquisition Companies (SPACs), and Private Investment in Public Entities (PIPEs). We represent U.S. and non-U.S. public and private issuers, with an emphasis on Israel-headquartered companies, as well as underwriters, financial institutions, venture capital funds, investment companies, and private investment firms in all aspects of U.S. securities offerings.
Job Highlights:
This position involves representing private and public company clients both in capital market transactions as well as in general disclosure and securities compliance matters. Candidates can expect to manage client relationships and handle day-to-day needs of clients with mentoring from leading securities lawyers.
Job Requirements:
You must be admitted to practice law in the U.S., and you must have at least 2-5 years of experience in general corporate practice with a primary emphasis on U.S. securities law (including SEC reporting requirements). Any candidate not meeting these prerequisites will not be considered.
The ideal candidate will have experience representing issuers in public and private offerings of initial public offerings and follow-on offerings. Additional experience counseling pre-IPO and public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, including preparation of Exchange Act filings, including Forms 10-K, 10-Q, 8-K and proxy statements, is highly preferred. Experience representing foreign private issuers is a plus. Hebrew language skills are a plus.
