PURPOSE
- Lead the team within the company secretarial function responsible for FWD Group Holdings Limited
- Guide the group for implementation of processes for Post-Listing Obligations and responsibility for ongoing compliance
- Responsibility for Group board/committee meetings and shareholders meetings
- Provide strategic legal and regulatory advice to senior management /board pre and post listing matters
KEY ACCOUNTAIBILITIES
- Lead and manage the company secretarial area relating to FWD Group Holdings Limited
- Ensure all post listing obligations are complied with
- Establish and develop process and guidelines for post-listing obligations
- Responsible for monitoring changes in Stock Exchange rules and adapting processes/ensuring compliance
- Lead the organization of listed company shareholders meeting arrangements
- Take full accountability for Annual Reporting and other periodic filings including obtaining internal board and committee approvals
- Responsibility for Related Party Transaction process, including internal sign offs and obtaining approvals from the Audit Committee as well as the relevant filings with HKEX
- Lead a team to efficiently and effectively deliver work on the public side by continuing to build relationship and work closely with cross functional team leads.
- Be a key person to support Group Company Secretary with stakeholder management of Board of Directors including arrangements for scheduled and ad hoc board and committee meetings/approvals
- Support Group Company Secretary with director compliance and onboarding, including trainings, attestations and maintenance of conflicts register
- Play an advisory role on best practices and operational procedures in relation to meetings and casting of votes etc.
- Oversee company secretariat aspects of M&A projects
- Lead and train the team for understanding in the HKEX listing obligations
- Act as key contact point of contact for board members
- Provide group company secretariat oversight to countries
- Lead special projects as assigned
- Facilitate shareholder communication and attend to share registration matters
QUALIFICATIONS / EXPERIENCE
- Degree in relevant subject
- Over 10 years’ experience in Corporate Secretarial/corporate services provider/legal environment including at least 5 years of in-house listed company experience
- Qualified Corporate Secretary or equivalent legal/professional experience
KNOWLEDGE & TECHNICAL SKILLS
- Understanding of HKEX Continuing Obligations
- Experience in Annual Reporting and HKEX Announcements
- Experience in Process Development and Project Management
- Knowledge of Diligent Entities and Diligent Boards
- Corporate governance
- Corporate secretarial
- Corporate law
- Familiarity with Anti-money laundering (AML) and know your client (KYC) requirements and practices
- Good with Microsoft office (Word, Excel, Acrobat), strong IT skills
- Fluent in English with excellent writing skills
- Outstanding and proactive communications communication and interpersonal skills
- Able to manage multiple stakeholder requests under time pressure, independent but also a good team player with willingness to go the extra mile
