We are seeking a seasoned Commercial Transactions Counsel to join our team in a highly visible role. You will provide comprehensive legal support and guidance across the organization, playing a key role in facilitating contract management and legal affairs.
Essential Duties:
- Review, draft, and negotiate agreements covering a wide range of WEBTOON’s commercial activities, including for its multiple global platforms; analyze and advise on commercial contracts and transactions such as master services agreements, license agreements, procurement, SaaS, content acquisition and distribution, and general commercial transactions.
- Maintain proficiency in project management best practices, workflows and related legal tools aimed at streamlining business and legal processes and strategic knowledge management; continually improve and assist in creating and improving agreements, playbooks, policies, templates, and legal and processes.
- Work closely with WEBTOON’s global legal team and provide strategic guidance to business and product leaders related to commercial transactions.
- Exercise sound judgment to provide actionable legal guidance that pushes projects forward with strategic risk mitigation; advise business clients on WEBTOON policies, legal issues and risk in the context of business strategy.
- Collaborate and work closely with cross-functional teams to execute company projects and initiatives and thoughtfully and efficiently address potential risks related to a wide range of relevant areas (e.g., licensing, IP, platform risk, content acquisition and distribution, social media law, etc.)
- Have a general understanding of data privacy, intellectual property, licensing, and how this impacts WEBTOON’s products and services.
- Conduct research, draft memoranda and reports, and present on various business and legal issues and projects.
- Handle projects at the discretion of the leads of the WEBTOON global legal team and support other day-to-day business and legal operations.
Minimum Qualifications:
- JD, with membership in good standing in CA bar
- 3+ years of legal / business and legal experience
- Prior experience handling commercial transactions, ideally in-house at an internet, media, or technology company preferred
- Excellent analytical, verbal, writing/drafting, presentation, organizational, and negotiation skills
- Strong emotional, social, and cultural intelligence
- Ability to build relationships in a professional and inclusive manner
- A growth and open mindset
- Drive to think creatively and proactively on strategy, workflow, risk, and problem-solving
- Takes initiative, skilled in prioritizing and managing tasks in a fast-paced environment
- Proficiency in Microsoft Office Suite (e.g., Word, Excel, PowerPoint); Bonus points for experience using contract/project management software (e.g., Ironclad, Airtable, etc.)
