Summary:
As a key member of the legal department, the SVP, Corporate Counsel will play a crucial role in providing strategic legal advice and support to the company and its subsidiaries. Will partner with the Chief Legal Office and other key executives to identify and mitigate legal risks, recommend best practices, and support business objectives and opportunities. In addition, may play a key role in the management of MSRs, providing legal advice and support throughout the life cycle of these complex financial transactions.
Essential Job Duties and Responsibilities:

Provide legal advice and support to the corporation with an emphasis on corporate governance, securities law, mergers and acquisitions, contracts, regulatory compliance, litigation, and intellectual property matters.

Collaborate with executives and business leaders to assess legal risks and develop strategies to mitigate them.

Draft, review, and negotiate contracts and other legal documents.

Draft, negotiate, and review agreements related to MSRs. Ensure regulatory compliance, identify and mitigate litigation risks, and provide legal guidance on any other legal and regulatory issues that may arise.

Monitor and advise on regulatory and market developments that may impact the corporation.

Ensure that the corporation and its subsidiaries operate in compliance with applicable laws and regulations.

Oversee legal due diligence for mergers, acquisitions, and other corporate transactions.

Manage the legal aspects of corporate restructurings, including mergers, acquisitions, and divestitures.

Review and approve legal filings with regulatory agencies.

Maintain regular and punctual attendance.

Supervisory Responsibilities:
This position has direct reports. Manages staff and carries out supervisory responsibilities in accordance with the organization's policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

Education and/or Experience:

Juris Doctorate from an accredited law school.

20+ years of legal experience with a focus on corporate law.

Experience managing a legal team and outside counsel.

Legal experience in a mortgage environment and in contract and real estate matters.

Exposure/knowledge of consumer law and employment law is a plus

Strong knowledge of corporate governance, securities law, and mergers and acquisitions.

Strong, up-to-date knowledge and experience in all aspects of mortgage servicing rights (MSRs).

Excellent written and verbal communication skills.

Strong interpersonal skills with the ability to build relationships across departments.

Ability to manage multiple priorities and deliverables in a fast-paced environment.

Strong analytical and problem-solving skills.

Ethical and professional conduct consistent with the highest standards of the legal profession.
