Associate General Counsel - Mergers & Acquisitions and Strategic Capital
Reports to: Vice President, Deputy General Counsel
Location: Waltham, MA

Thermo Fisher has committed that inorganic growth, primarily through M&A, will represent the majority of our capital deployment strategy. Since the start of 2021, we completed two-dozen transactions representing approximately $30 billion in activity. The acquisition of PPD for $20+ billion established Thermo Fisher as a leader in the CRO industry and was one of the largest global transactions in 2021. Other transactions spanned the scope of our entire business including molecular biology, protein synthesis, life science instrumentation and biologics and drug manufacturing. We believe ourselves to be one of the most active Corporate Development and M&A teams in any industry and a clear leader in life sciences.
What will you do?
- Drive the company's M&A strategy and portfolio objectives.
- Lead, mentor and develop the team of M&A and Strategic Capital lawyers, including day-to-day oversight of work allocation and priority setting, while fostering a collaborative environment; support career development and growth, including through regular feedback and individual development plans.
- Manage the external and internal legal teams responsible for the legal affairs relating to Corporate Development, M&A and Strategic Capital in an efficient and cost-effective manner
- Work on a variety of transactions in all stages, from initial presentations and deal structuring to transaction closings and integration.
- Lead and supervise a wide range of M&A and Strategic Capital matters, including acquisitions, dispositions, mergers, joint ventures and investments globally for Thermo Fisher
- Review, supervise, and negotiate transaction documentation including term sheets, bid letters, purchase agreements, and investment agreements.
- Advise Corporate Development, Strategic Capital, and other senior leaders on issues related to the inorganic growth pipeline, including management of stakeholder expectations.
- Partner with Corporate Development, Strategic Capital, Functional specialists, and other Company advisors to supervise due diligence activities, enable regulatory filings, prepare for closing and integrations.
- Drive practice management activities, including outside counsel oversight, best practices development, and continuous process improvement to enhance efficiency, quality, and productivity.
How will you get here?
- JD from an accredited law school and a member in good standing with the bar. Licensed to practice law in the U.S.
- 10-15 years legal experience, with experience at a top tier law firm; in-house transactional leadership experience preferred
- Global life science, health care or other relevant highly regulated company experience preferred; experience in a public company with international operations preferred.
- An established track record of effectively handling large, complex M&A transactions, including international deal experience
- Solid experience working with senior management in strategic M&A initiatives as well as tactical matters; demonstrated ability to collaborate with business leaders and other functions to achieve the M&A goals of the Company
- Ability to develop practical processes/approaches to drive solutions to completion
- Excellent leadership and management skills, strong negotiation and influencing skills, a strong and diplomatic presence
- Excellent work ethic; a robust and energetic self-starter
- Demonstrated desire to learn and enthusiasm for driving an environment of continuous process improvement.
- Experience with team building and an ability to develop internal talent, supporting collaboration and contribution within and among teams
- Exceptional oral and written communication skills
- Strong sense of ethics and integrity; demonstrated good judgment
- Willing to work from the Waltham, MA Headquarters
- Travel is estimated at 10 – 20%
