Your Next Career Opportunity – Senior Manager, Legal Affairs
Provide legal support, counseling and review of due diligence, including title and survey review, as well as analyze and recommend the appropriate legal Real Estate strategy in connection with real estate transactions for all International jurisdictions that SBA Communications is present, with a dotted line to all AO Attorneys in Hispanic America, coordinating their activities, updating formats and authorizing changes and execution of real estate contracts, as needed. The position will interact regarding real estate contracts and strategy with regional attorneys from Africa, Asia, and Brazil, exchanging experiences, knowledge and best practices. The position will report directly to the VP & Associate General Counsel – International and a dotted line to the Senior Director of Asset Optimization.
What You Will Do – Primary Responsibilities

  • Establish, implement and maintain standards for the acquisition or leasing of real property in the Territory for development as a communications tower site, including preparation, review and maintenance of standard form documents, standards for required development activities, such as obtaining necessary development and environmental approvals, and standards for the review and registration of title.
  • Implement policies relating to diligence and regulatory compliance, licensure requirements, risk management and assessments, scope of work for outside consultants, corporate tax, and labor obligations, Foreign Corrupt Practices Act (FCPA) and anticorruption policies to ensure compliance with local laws.
  • Manage all administrative and litigation proceedings involving licensure and regulatory matters in the Territory, including civil aviation authorities, telecommunications authorities, land use development authorities, real estate ownership and brokerage and fuel storage tanks. 
  • Establish standards and diligence requirements for general contracting in the Territory, including establishment and maintenance of forms and negotiation of Letters of Intent, Build to Suit Agreements, Master Lease Agreements, Construction Contracts, Maintenance and Service Agreements, Brokerage Agreements, Confidentiality Agreements and Nondisclosure Agreements, Independent Contractor Agreements, Ground Leases, Tenant Leases, Office Leases and other contracts related to tower development and operations, including the purchase of property, surface rights, usufructs, servitudes, one-off lump sum payments, loan agreements, and trust, among others. 
  • Manage general representation of property management issues in the Territory, including addressing general real estate questions and managing litigation, assisting in collections efforts, and interpreting surveys and topographic drawings. 
  • Implement, refine and monitor processes and procedures in the Territory to ensure consistency with SBA practices in all legal areas, including but not limited to registration of documents, conversion of possessory rights, change of ownership.
  • Upon request, assist in the closing process for Mergers & Acquisitions (M&A) transactions in the Territory, the transitioning of acquired assets to operations following closing and the implementation of international loan programs. 
  • Coordinate and monitor anti-corruption training of employees and vendors in the Territory and anti-corruption diligence for vendors and M&A transactions in the Territory. 
  • Upon request, coordinate labor/employment/union issues in the Territory with Human Resources or designee. 
  • Assist with corporate organizational matters for SBA subsidiaries in the Territory, including filings and powers of attorney. 
  • Working collaboratively with the TDI team in the U.S. and leaders and staff from other departments to assess the potential impact of each TDI activity and to develop, assess, and execute strategic action plans. 
  • Manage day-to-day execution of the Tower Defense Initiative (TDI) in the Territory, including coordinating workflows being performed by various internal and external resources and directly overseeing certain workflows, such as TDI-related litigation. 
  • Coordinate the compiling and analysis of existing licensing regulations and site-specific licensing documentation for purposes of TDI activities. 
  • Coordinate and supervise the preparation of site level analysis factoring in competitive, structural, financial, legal, community and other considerations. 
  • Review, analyze and supervise the execution of ground leases, easements, tenant leases, surveys, title reports, and contracts and related documents. Certify the property titles and lead the registration of properties and contracts.
  • Supervise and provide legal direction and support to local attorneys in connection with real estate transactions, including real estate closings and post-closing process, resolving title/survey issues, and after execution to obtain final registration of contract with local registries, protecting our assets and GL stability against third parties. 
  • Ensure consistency of contracts and provisions across all international markets. 
  • Coordinate and ensure accuracy of international real estate due diligence reviews to determine the best course of action for the company in securing real estate interests. 
  • Prepare various risk assessments regarding issues with the property title, mortgage bonds (if applicable), or the validity of contracts, including alternatives to mitigate and control such risks. 
  • Evaluate and provide insight and recommendations to leadership on all aspects of local real estate laws to minimize risk and maximize returns on all international real estate transactions. 
  • Assist in development of processes in coordination with other departments to facilitate the successful execution of all international transactions. 
  • Develop and distribute interdepartmental reporting and coordinate periodic reports to executive team. 
  • Assist in coordination of selecting and managing third-party vendors.
  • Supervise corporate records and all corporate governance-related matters. 
  • Update and maintain best practices manual. 

What You’ll Need – Qualifications & Requirements

  • Licenciatura en Ciencias Contables, Jurídicas y Sociales, Abogado y Notario; and 5-10 years legal experience. US legal experience preferred.
  • Experience with real estate transactions including, but not limited to landlord-tenant relations, development and construction.
  • Wireless industry knowledge preferred.
  • Knowledge of general corporate and litigation matters preferred.
