We are seeking an experienced and hands-on Senior Legal Counsel to elevate our commercial legal function, which currently consists of three dedicated legal professionals and is bolstered by a robust larger legal team. As Senior Legal Counsel, Commercial at Coveo, you will work collaboratively with all our go-to-market functions, with a particular focus on our sales team and Deal Desk (finance) team, to drive commercial agreements to successful completion.
As one of our Senior Legal Counsel, you will:
- Draft, negotiate and review a wide range of SaaS commercial contracts, including enterprise-level customer agreements/MSAs, DPAs, SLAs, partnership agreements and related SOWs, and much more.
- Handle the legal aspects of commercial deals from inception to closing.
- Provide legal advice to the leadership team in connection with commercial matters and risk management, and opportunistically on regulatory, compliance and privacy issues.
- Collaborate with internal stakeholders, including all go-to-market teams, Product and R&D, to align legal strategy with business goals.
- Work with our legal privacy/compliance function on several cross-functional initiatives and assist our procurement function on critical procurement deals.
- Develop and implement procedures to streamline legal commercial operations.
Here is what will qualify you for the role:
- Over 4 years of legal experience, including at least 2 years in-house focused on commercial matters in North America or Europe.
- Direct client experience, preferably in a sell-side capacity (selling products rather than purchasing).
- Strong negotiation skills, adept at managing complex discussions with empathy, humility, and professionalism.
- Strong business acumen and problem-solving abilities to provide strategic advisory support, along with excellent written and spoken English proficiency.
What will make you stand out:
- Experience working in tech or SaaS environments, ideally in-house on the sell-side; familiarity with complex products is a bonus.
- Strong in risk management for fast-paced environments, with solid analytical, problem-solving, and cross-functional communication skills.
- Background or interest in AI, machine learning, data privacy (GDPR, etc.), and IP matters; privacy certifications (CIPP) or security exposure is a plus.
- Knowledge of or enthusiasm to learn Coveo’s technology and offerings.
