THE ROLE
Sotheby’s, Inc. seeks a Senior Counsel to work with the Sotheby’s Financial Services (SFS) team to structure bespoke art-backed financial transactions for SFS’s clients in multiple jurisdictions. Draft, review and negotiate loan agreements, security documents, pledge agreements, auction consignment agreements, guarantee and consignment agreements, and related agreements, including lien release and bailment agreements, confidentiality agreements, and term sheets. Conduct due diligence and facilitate transaction closings of secured loan transactions. Advise on creation and perfection of security interests and enforcement matters related thereto. Advise the SFS business on lending regulations applicable to the SFS art lending business. #LI-DNI
IDEAL EXPERIENCE & COMPETENCIES
Position requires a J.D., LL.M., or foreign equivalent, and 4 years of corporate and/or commercial experience at a law firm, in-house, or a combination thereof, with an emphasis on general corporate, mergers & acquisitions and corporate finance transactions. Experience must include a minimum of: 4 years of experience with complex secured lending transactions, including up-to-date working knowledge of UCC Articles 8 and 9; 4 years of experience preparing, reviewing and negotiating documentation relating to lending activities, including term sheets, credit facility agreements, security documents and amendments to principal transaction documents; and 4 years of experience reviewing and drafting bond documentation, private placement agreements, asset and stock purchase agreements, shareholders’ agreements, subscription agreements, non-disclosure agreements, letters of intent and other similar transactional documentation. Must be admitted to practice law, active and in good standing with the New York State bar. Part-time telecommuting is permitted.
