The Associate Counselor for ChenMed provides legal guidance to different levels of the organization throughout the different states that the company is located in. The Associate Counselor will work both independently and with others and must have the ability to multi-task and prioritize multiple projects concurrently.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Promotes the facility mission, vision and values by effectively communicating them to others. -Considers mission, vision and values in developing services, standards and practices.
- Ability to independently draft complex letters, contracts and instruments.
- Ability to independently manage complex regulatory compliance matters which pose significant risk to the organization.
- Regularly deals with members of senior management on matters within his/her area of legal expertise.
- Adapts professional staff and other documents to changes in regulations, laws and client practices.
- Provides support to General Counsel and coordinate to meet deadlines through appropriate planning and communication.
- May independently manage select portions of more complex projects, and coordinate his/her work with work of
- other attorneys to deliver timely results on complex project.
- Exercises appropriate judgment regarding when to seek assistance from supervisors, General Counsel, or outside counsel on a particular issue.
- Has a well-developed sense for appropriate level of technical detail when communicating to clients
- Supervises and judiciously engages outside counsel when required.
- Must have knowledge of laws, legal codes, court procedures, precedents, government regulations and executive orders.
- Drafts, reviews, and edits reports, opinions, correspondence, articles, and other documents
- Writes and administers vendor, client, and employment contracts.
- Other duties as assigned and modified at manager’s discretion.
KNOWLEDGE, SKILLS AND ABILITIES:
- Specific experience should include analyzing and advising on the Stark Law, Anti-Kickback Law and other federal and state healthcare compliance matters, and drafting complex agreements and other legal documents.
- Excellent academic credentials, writing, communications, strategic problem-solving and leadership skills required.
KNOWLEDGE, SKILLS AND ABILITIES:
- Ability to work with, influence and provide counsel to the company’s senior leadership.
- Ability to work independently and cross-functionally in a fast-paced, ever-changing, and challenging environment
- Demonstrated ability to be a strategic thought partner for the Legal COE and the business
- Senior level knowledge and experience managing one or more complex area of law for the Legal COE
- Ability to do a root cause analysis and drive process improvement
- Ability to manage a team, including organizing, prioritizing, and scheduling work assignments
- Superior written and oral communication skills with excellent academic credentials, writing, communications, strategic problem-solving and leadership skills required
- Strong negotiation, presentation, and legal research skills
- Ability to maintain high level of confidentiality and ethical behavior
- Capacity to think strategically, make sound decisions and give business and legal advice, at times in compressed time frame with limited information
- Solution-oriented team player with a commitment to client satisfaction
- Ability to handle multiple complex responsibilities simultaneously and still meet high quality standards under pressure
- Proficiency with contractual terms and conditions required
- Understanding of Medicare Advantage risk-based primary care and applicable laws and regulations for both the industry and general businesses
- Excellent problem solving, analytical and critical thinking skills
- Excellent time management and cross-functional and internal team collaboration skills
- Knowledgeable of applicable laws, legal codes, court procedures, precedents, government regulations and executive orders
- Proficient in Microsoft Office Suite, in particular Word, Outlook, PowerPoint and Excel; knowledge of Linksquares and/or ServiceNow a plus
- Spoken and written fluency in English
- This position requires Less than 10% of travel nationwide
- This position requires the use of independent judgement
EDUCATION AND EXPERIENCE CRITERIA:
- Juris Doctor (JD) Degree from an ABA accredited law school required
- Admission to at least one U.S. State Bar in good standing
- Minimum of five (5) years’ experience in law, focusing on an area of law relevant to the Company (i.e.: Health Care law); previous experience as corporate in-house counsel is a plus
- Specific experience should include ability to analyze and advise on the Stark Law, Anti-Kickback Law and other federal and state healthcare compliance matters, and drafting complex agreements and other legal documents and defending employment and labor law actions; experience with the EEOC, FMLA, ADA, DOL, FLSA a plus
- Deep knowledge or experience in one of the following areas of law is a plus: intellectual property law, labor and employment law, health care law, mergers and acquisition in the healthcare field, transactional law, corporate law or real estate law
- Experience with cost-effective management of outside legal resources
- Up to date with Continued Legal Education courses (CLE) and proactive about staying informed and self-educating to stay relevant and knowledgeable
