Paralegal - Securities Investments

The Northwestern Mutual Law Department is seeking an experienced and agile paralegal interested in joining a diverse, challenging, and fast-paced practice supporting the Company on a wide range of issues as the Company works to transform how clients experience financial security.
The role:
The paralegal will be a member of the Law Department's Securities Investments Team that supports Northwestern Mutual's $300+ billion institutional investment portfolio. Although under the direction and supervision of attorneys, the paralegal will provide a high level of legal support and assistance the Securities Investments Team's lawyers and directly to business clients and must be able to perform paralegal functions independently, with minimal guidance.
Responsibilities:

• Using judgment and research to problem solve and analyze issues, independently reviews and prepares drafts of subscription agreements and related documents for private equity fund and co-invest equity and debt transactions.
• Independently prepares responses to "Know Your Customer" and Anti-Money Laundering document requests from third parties in connection with private institutional investment transactions.
• Monitors ongoing compliance and security interest perfection requirements of various investments and gathers data from client departments to complete and file forms required by the Securities and Exchange Commission, the NAIC, and other governmental or regulatory agencies.
• Prepares drafts of minutes for corporate committees.
• Independently prepares documents relating to secondary purchases and sales of securities
• Drafts and maintains corporate records, resolutions and minutes for subsidiaries.
• Assists with legal due diligence document production, including population of the virtual data room for Northwestern Mutual's securities offerings.
• Demonstrates resourcefulness and versatility by assuming responsibility for additional investment related assignments previously handled by the attorneys.

• Bachelor's degree and at least 3 years of paralegal experience.
• Additional experience or additional experience together with a certificate of paralegal studies from a program approved by the American Bar Association may be considered in lieu of Bachelor's degree.
• Proven knowledge and experience in corporate finance, privately placed securities, commercial lending and/or institutional investment transactions.
• Strong analytical skills, ability to exercise good judgment and make recommendations to clients.
• High level of proficiency in written and oral communications, including negotiation and conflict resolution skills.
• Proven experience in prioritizing and concurrently handling and taking ownership of multiple, assignments.

• Superior interpersonal skills and proven ability to collaborate with and counsel clients throughout the enterprise, as well as attorneys and other professionals in the Law Department and outside of the enterprise.
• Demonstrated ability to work with minimal supervision.
• Ability to perform under time sensitive deadlines.

• Northwestern Mutual Law Department's is comprised of approximately 130 people, more than 75 of whom are lawyers, having come to Northwestern Mutual from all around the country after having graduated from a multitude of law schools and undergraduate institutions and having practiced in a wide variety of settings.
• The balance of the Department consists of highly skilled paralegals and research and administrative professionals who support significant aspects of the Department's operations.
• The Law Department (in every aspect of its operation, including the Law Department Leadership Team, the Department's practicing lawyers and paralegals, and the Department's professional administrative staff) strives to build a team and an environment that is inclusive and represents a mix of perspectives, experience and backgrounds.
• The Northwestern Mutual Law Department provides most legal services in nearly all disciplines directly to the Company, with only select utilization of outside counsel.
• There are nine main practice teams within the Law Department: Insurance Products and Operations; Investment Products and Advisory Services; Corporate; Distribution; Litigation; Digital and Enterprise Operations; Enterprise Governance; Securities Investments; and Real Estate Investments.
• Members of the Law Department develop a thorough understanding of the Company's business needs and are fully engaged in the execution of the Company's business strategy. This allows members of the Law Department to provide the most timely and effective counsel in an efficient manner and leads to greater career satisfaction for our attorneys, paralegals, and professional administrative staff.

$60,340.00
Pay Range - End:
$112,060.00
Northwestern Mutual pays on a geographic-specific salary structure and placement in the salary range for this position will be determined by a number of factors including the skills, education, training, credentials and experience of the candidate; the scope, complexity as well as the cost of labor in the market; and other conditions of employment. At Northwestern Mutual, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case.
