The Position:
Reporting to the Director of M&A, the M&A Manager will play a critical role in the execution of acquisitions, serving as a transaction lead on select deals and managing the process from the initial term sheet through closing. This role will be responsible for overseeing the due diligence process, developing financial models and valuation recommendations, leading purchase agreement negotiations, and acting as the primary point of contact with sellers throughout the transaction. The M&A Manager will also work closely with the M&A Integration Team and various business departments to ensure a seamless integration at the time of close. With a strong pipeline of acquisition opportunities across North America ranging from $1M to $50M+ in enterprise value, this role will require managing multiple transactions simultaneously. Culligan Quench is a highly acquisitive company, having completed over 80 acquisitions to date with plans to close 10-20+ transactions annually. This is a high-profile position within the company and the role will require regular communication with Senior Management and the Executive Team, including the CEO, COO, CFO, and Senior Counsel.
Responsibilities:
- Lead Due Diligence, Negotiations & Valuation Assessments
- Coordinate the deal process, from initial term sheet through close, by developing and adhering to a closing timeline, maintaining the virtual data room and managing various stakeholders including sellers, external advisors and internal Culligan Quench leadership.
- Review due diligence materials and assess potential impacts to valuation, deal terms and go-forward operations.
- Collaborate with external legal counsel to negotiate purchase agreements and related documents with sellers.
- Construct go-forward, 3-statement financial models for each acquisition and assess valuation under various methodologies including DCF and LBO.
- Prepare investment summaries to secure deal approval Executive Leadership.
- Coordinate with Business Functions and M&A Integration Team
- Identify operational process gaps to be addressed by the M&A integration team and the business unit post-close.
- Monitor post-close deal performance against targets.

- Provide clear and regular updates to senior leadership on deal status, key diligence findings, and strategic considerations.
- Identify continuous opportunities for process improvement.
- Collaborate cross-functionally with the business unit as a trusted partner.
Qualifications
- Experience: 3–4+ years of M&A deal execution experience within a professional services firm in valuation, due diligence, strategic consulting or corporate M&A/Corporate Development team.
- Education: Bachelor's degree required, with formal training in finance and/or accounting.
- Technical Skills: Superior financial modeling and data analysis skills, with proficiency in Microsoft Excel, Word, and PowerPoint (experience with Salesforce.com and/or MS Power BI is a plus). Familiarity with legal contracts, particularly M&A purchase agreements, is a plus.
- Communication: Excellent verbal and written communication skills, with the ability to present conclusions and recommendations based on data analysis.
- Project Management: Strong ability to manage multiple projects simultaneously in a fast-paced, results-driven environment.
- Attention to Detail: High level of accuracy and thoroughness in work.
- Personal Attributes: Accountability, coachability, and self-awareness. Willingness to travel and work late/weekend hours when necessary to meet deadlines.
