What is this position about?

We are looking for an experienced Mergers and Acquisitions (M&A) Manager to lead and support the M&A process from start to finish. The ideal candidate will have a strong background in financial modeling, company research, due diligence management, understanding of the legal documentation, and understanding of US GAAP.


Job Description

  • Assisting in developing the M&A strategy by connecting with key business stakeholders.
  • Connecting with investment banking network for inbound acquisition opportunities.
  • Ensuring the pipeline is regularly updated and reflective of current opportunities.
  • Assisting in developing and analyzing deal structure and build models and sensitivities to determine if underwriting hurdles are being achieved.
  • Preparing offer documents including an IOI and LOI as the deal progresses.
  • Managing the due diligence process between the acquisition target, and internal / external diligence teams. 
  • Developing remediation plans based on due diligence findings and presenting them to key internal stakeholders and executives. 
  • Update the financial models and refine underwriting assumptions to confirm underwriting hurdles are still being met.
  • Support negotiations and preparation of definitive legal documents (e.g. SPA).
  • Prepare funds flow and supporting documentation needed to secure funding from PE investors and/or commercial banking relationships. 
  • Assist in developing integration plans.
  • Managing and monitoring post-closing obligation including true-ups, deferred payments, and earnout payments.
  • Documenting and summarizing the deal structure and legal terms.
  • Following up on post-close administrative items as necessary. 

Qualifications

  • Experience developing robust, dynamic financial models and analyses. 
  • Solid understanding of the M&A process from start to finish. 
  • Flexibility and the ability to adapt to changes in priorities in a fast-paced environment. 
  • Solid understanding of US GAAP. 
  • Excellent communication skills as you will be interacting with business leaders and executives.

What about languages?

  • Excellent written and verbal English for clear and effective communication is a must!

How much experience must I have?

We're looking for someone with 5 to 7 years of experience in M&A transactions.
