About the Role

On the Job

• Handle transactional legal work, including private equity, fund-raising, corporate restructuring and other such corporate deals.
• Management of stakeholders and stakeholder communication, including with investors, vendors/ service providers, regulators, external legal advisors, tax advisors, auditors, etc.
• Draft, review, and negotiate contracts, term sheets, organisation level policies and other related legal documents.
• Provide legal advice and support to various teams of the organisation such as people team, finance team, product and design team, to ensure compliance with applicable laws and regulations.
• Work closely with senior legal counsels at the organisation, in deal structuring and execution.
• Conduct legal research and provide insights on industry trends, regulations, and best practices.
• Assist in the management of legal risks and ensure legal processes are followed in all transactions.
• Manage and coordinate with internal teams to facilitate the completion of legal documents and agreements.
• Assist the organisation with various operational and day-to-day matters, internal compliances, documentation, policies, research and legal opinions

Must-haves (Min. qualifications)

• 2-3 years of experience in a law firm environment with focus on transactional work.
• Prior experience in private equity, corporate restructuring and fund-raising transactions.
• Sound knowledge of corporate law and other regulations, especially pertaining to corporate deals and fintech (including FEMA, RBI regulations, PPI directions and Companies Act, 2013).
• Strong drafting and negotiation skills, including for transactional agreements such as share subscription agreements, share purchase agreements, shareholders agreements, term sheets, side letters, etc.
• Strong academic background in law.
