This role involves crafting a range of commercial agreements and delivering essential administrative support to streamline Civica's contracting process with both our Customers and Suppliers.

Role & Responsibilities:
- Reviewing, and drafting a variety of agreements related to the Software industry for both customer and supplier e.g., Software Licence/SaaS agreements, Novation agreements, Non-Disclosure Agreements, Service agreements
- Delivering legal support and advice across various IT-related contract domains, including intellectual property retention and licensing, implementation services, acceptance testing, and service level agreements.
- Support Civica by identifying and managing contract risk
- Take the lead on high value contract negotiations and support a wider team on managing contract renewals and amendments (CCNs)
- Engage in the ongoing enhancement of standard form agreements and contract templates
- Work with onboarding team to integrate acquired businesses into Civica, updating integration plans against work done for each acquisition
- Refer unresolved issues to the Group Legal Director for further assistance
- Support central functions in India (purchasing, people, facilities etc.) relating to contracts, queries, advising, legal interpretation. Working closely with and providing support to the Commercial team as needed, especially during high-demand periods
- Advising on procurement matters including, in particular, central government framework agreements and their associated call-off terms and conditions
- Provide advice to central functions on ad hoc legal matters and, more regularly as part of our contract approval process
This role requires a balance of independent initiative and teamwork in a dynamic office environment.
It is primarily computer-based, involving tasks related to phone and video conferencing.
What you will do to be successful in this role
- This position requires candidates to have a bachelor’s degree in law, and a master’s degree would be considered an additional benefit
- A minimum of 4 years of experience in a corporate in-house legal department or a private practice law firm, with a focus on software contracts and negotiation
- Knowledge and experience in commercial bidding, tendering, negotiation, and sales skills would be beneficial.
- Holding practising certificate issued by Solicitors Regulation Authority (England & Wales) or be a Registered Foreign Lawyer with the Solicitors Regulation Authority (England & Wales)
- Background in managing public sector matters and/or contracts within the IT industry, especially concerning licensing agreements and data protection, is preferred
- UK public procurement law knowledge – legal and practical
- Capable of effectively and clearly communicating in English, both in writing and verbally, within a multicultural setting.
- Ability to treat sensitive/confidential information with discretion
- Proficient in computer applications including MS Word, PowerPoint, Excel, DocuSign, SharePoint, and Teams
- Capable of meticulously reviewing and negotiating contracts while adhering to tight deadlines.
