The Legal Counsel will provide legal advice and leadership across CAI’s business lines in the U.S., with a special focus on claims management, contract administration in execution-phase projects, and ANA Concessions. This role will ensure compliance with laws and regulations, safeguard the company’s interests, and support business development, asset management, and dispute resolution.
By delivering expert legal guidance, the Legal Counsel will mitigate risks, optimize resources, and enhance regulatory and contractual compliance, ensuring CAI’s sustainable growth and operational success in the U.S. market.
Additionally, this role will provide the company with critical time to assess the evolving legal needs of the North America Legal Team, ensuring well-informed, strategic hiring decisions for long-term legal support.
Job Description
Key Responsibilities:
Business development and project Advisory: Offer legal guidance throughout all phases in infrastructure projects under PPPs schemes—origination, bidding, acquisition, partnerships, awarding, financing, construction, operation, and divestment.
General Legal advice: Provide legal advice to various in-house departments, crafting strategies aligned with legal requirements and regulatory frameworks. Identify associated risks to support informed decision-making. Provide training to management as required on selected topics.
Regulatory Compliance: Advise on regulatory matters and interactions with regulatory bodies, ensuring legal compliance to avoid penalties.
Risk Anticipation & Contractual Compliance: Anticipate legal risks and ensure timely compliance with all contractual obligations, including coordination of financial obligations (e.g., financial closings, guarantees), fulfillment of precedent conditions, and other contractual deliverables.
Tender Process Participation: Actively participate in all tender stages of various contract models, especially PPPs, including: (i). reviewing bid documents and concession contract models; (ii). drafting and negotiating consortium agreements, confidentiality agreements, service agreements, construction and O&M contracts, etc., and (iii). advising on the incorporation of necessary entities for project execution and assisting in financial structuring during the commercial and financial closure phases.
M&A : legal support throughout M&A operations, conducting due diligence, and preparing and negotiating non-binding and binding offers, share purchase agreements (SPAs), asset purchase agreements (APAs), and other key commercial agreements.
Corporate Legal Support: Provide support in corporate matters, including preparation of corporate documents (entity formation, changes, registrations, etc.), preparing and reviewing internal approval forms, constitutions, trust deeds etc. Liaison and integration of work with commercial, corporate and tax advisors
Asset Management: Advise on claims against clients or third parties, refinancing processes, and concession contract termination procedures, providing legal support to formal communications with concession-granting authorities, regulators, contractors, etc.
Claims Management: Manage and coordinate claims (financial and timeline-based), ensuring proper argumentation and validation.
Dispute Resolution Strategy: Support legal strategy in dispute resolution, assess alternative scenarios, and select consultants accordingly.
Litigation & Arbitration Oversight: Monitor and coordinate judicial, administrative, and arbitration processes, providing strategic legal guidance.
External Counsel Management: Appoint, negotiate, and manage external law firms following internal procedures, standards, and company policies, including work scope, delivery requirement and advisory costs in respect of own projects.
Reporting: Provide regular updates to senior management and legal department heads (both business and corporate) and business unit leaders (e.g., Directors and CEOs) as required.
Team Management: Supervise and manage legal team, if applicable.
Document & Archive Management: Ensure rigorous documentation and archiving of all relevant legal documents throughout project participation and corporate activities.
Governance: Promote and enforce adherence to internal policies, procedures, and compliance standards within the company.
Knowledge Management – contributing to the development and maintenance of the business’ precedent documentation and other legal resources and updating them to take account of developments of law
Resource Optimization: Foster efficient use of allocated resources, promoting cost savings and optimization of expenditures and investments.
Other Responsibilities: Undertake any additional responsibilities related to the position as assigned.
Required Skills and Competencies
Knowledge/Experience:
Education: Juris Doctor (JD) from an accredited law school in the United States. Active member of the Bar in at least one common law U.S. state.
Experience: Minimum 10 years of experience in legal practice, preferably in the infrastructure or concessions sector and both as in-house counsel and in a law firm. Proven track record in project finance, M&A, and asset management within a multinational environment.
Skills:
- Proven experience in the Key Responsibilities cited above.
- Excellent communication and interpersonal skills, with the ability to work across cross-functional teams and international environments.
- Leadership skills with experience managing legal teams.
- Languages: Fluent in English; Spanish well valued
