Linklaters LLP seeks Counsel in New York, NY to advise public and private companies, private equity funds, and high-growth and early-stage companies on a variety of complex transactions involving intellectual property and technology, as well as strategize on acquisitions, carveouts, mergers, and sell-side transactions across multiple industries including retail, technology, software, manufacturing, pharmaceuticals, life sciences, automotive, infrastructure, consumer goods, and healthcare. Draft and negotiate highly complex documents, including purchase agreements, financing documents, joint venture agreements, security agreements, IP and technology licensing, outsourcing and services agreements, master service agreements, and software development agreements. Manage due diligence efforts, review and analyze legal documents and draft and review diligence memos. Provide authoritative advice across the firm, developing innovative and commercial solutions to complex legal issues. Strengthen long-term client relationships, working with colleagues to develop and maintain them. Display market, sector and client knowledge beyond matter transaction. Actively cross-sell and bring in business from new clients, leading pitches effectively. Enhance reputation and raise the profile of the firm in the marketplace. Develop and drive the strategy and business plan for the team. Demonstrate the highest standards of technical expertise, keeping your knowledge and skills up-to-date. Play lead role on matters, inspiring the team to do their best and to provide the best client experience. Deal with setbacks with resilience, manage risk effectively and adhere to conflict procedures. Resource work effectively through efficient matter management and work allocation skills. Role model financial discipline, negotiate fees and follow financial management policies to ensure overall profitability. Promote the importance of diversity and challenge unconscious bias and excluding behaviors. Ensure seamless and consistent cross-function / cross-team service. Requirements: L.L.M. or foreign equivalent. Experience in job offered or related occupation must include at least six (6) years of progressively responsible experience at an international law firm: working on corporate legal transactions, incorporating documentation and other legal documents related to intellectual property transactional law; participating in the intellectual property related aspects of financing transactions for sponsors, borrowers, and lenders; researching, analyzing, reviewing and drafting memoranda, contracts and other agreements and legal documents relating to tech transactions, related to private equity and public M&A; implementing project management strategies to organize outstanding items and manage different workflows; applying legal analysis to identify legal issues and provide solutions; directly advise corporate clients on applicable laws and regulations related to legal and regulatory compliance as they apply to business transactions; and managing complex legal transactions with multi-party representation and negotiating terms on behalf of clients. Telecommuting and/or working from home may be permitted according to company policies. When not telecommuting, employee must report to worksite. Must be admitted to practice law in the State of New York. The base salary range offered for this role will be between $450,000 and $600,000 and represents the firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate’s relevant experience, performance, qualifications, as well as the needs of the firm. The total compensation package for this position may include discretionary bonuses and other benefits.
