GENERAL DESCRIPTION
Our Contracts Specialist manage, develops, improves, and oversees contracts with vendors and customers at first level, besides the digital and physical archiving of all legal documents of the entity. This position also provides legal advice and guidance on contract terms and conditions for Commercial team before addressing request of authorization to Corporate Legal department and gathering all approvals according authority matrix. This position will provide legal and contractual support for our company, mainly to Sales Department. This position should be familiar with legal terminology, contractual agreements, and have a background in contract administration. The Contracts Specialist will work closely with legal, procurement, commercial managers, legal representative, finance and project managers to ensure contracts comply with legal requirements and operational goals.
ESSENTIAL FUNCTIONS & RESPONSIBILITIES
- Review, draft, and discuss with commercial team members all the contractual agreements, including but not limited to, non-disclosure agreements, service agreements, sales of product agreements, consignment agreements, purchase agreements, and other corporate agreements
- Review and analyse legal documents to ensure accuracy and completeness
- Performing research to better understand the context of the contract
- Coordinating with the company's legal team to ensure the contract satisfies legal requirements and interests
- Ensure contract compliance with legal requirements and company policies
- Manage contract change requests, amendments and extensions
- Maintain accurate contract records and documentation, perform validations
- Collaborate with other departments to identify areas for continuous improvement of the contracting process
- Provide administrative support for legal documentation
- Establish a document management system for power of attorneys, assembly minutes, articles of incorporation
- Maintaining up to date all corporate black book for the entity alongside the corporate firm
SUPPLEMENTAL RESPONSIBILITIES
- Perform validations and audits on the agreements we have with customers, vendors and others, ensuring the expedients have all the approvals according to company policies and procedures
- Proactively following up with accordingly teams in case of agreement renewal or clauses to take into consideration
- Raise with corporate legal department or management any concern detected in daily operations
KNOWLEDGE & SKILLS

EDUCATION & EXPERIENCE
- Bachelor’s degree required Business Administration, Law or a related field
- Preferred or 3-5 years’ equivalent experience
- Familiarity with government contracting regulations is a plus.
- 1 - 3 years in similar position.
- 1 – 3 years’ experience utilizing Microsoft Office, Internet, and related computer skills.
