About the Role
Validity is seeking an experienced Contracts Analyst to support our Commercial Legal Team. The Contracts Analyst will report to Validity Legal leadership and be a key contributor to supporting revenue generation activities by partnering effectively with our global sales team.
The ideal candidate must have prior experience in a similar role within a SaaS or software development company. As a Contracts Analyst, you will conduct the initial review of customer and vendor contracts to identify and summarize areas of risk and non-compliance with internal contract policies. You will provide contract support across the organization (including legal, sales, finance, HR, and executive team members) by answering common contracts-related questions, negotiating contract terms, obtaining and documenting internal approvals and obtaining required signatures. You will be responsible for keeping legal repositories/systems accurate and up-to-date and ensuring deadlines are met.
This is a hybrid office-based position which requires working 3 days per week (Tuesday, Wednesday, and Thursday) in Validity's Boston (Financial District) office location.
Position Duties and Responsibilities
- Manage the contracts lifecycle from initial receipt to signature to ensure thorough and timely completion of client and vendor contracts; partner internally with a variety of roles/functions as well as externally with clients and vendors.
- Review and analyze MSAs, contracts (including commercial, marketing and vendor-related contracts), and amendments to SaaS agreements to identify potential risks
- Review and negotiate NDAs with minimal or no guidance
- Negotiate contract terms with customers and vendors, identify and summarize contractual risk and obligations for review and work with internal business partners to obtain approvals for modifications if required
- Draft MSAs, amendments and other transaction documents for review.
- Provide guidance to internal teams regarding commonly requested edits, non-standard terms, policies, and questions.
- Manage contract database and systems
- Implement and enforce contract policies
- Route and track high volumes of contracts for e-signatures; prioritize and manage escalations within a fast-paced environment.
Required Experience, Skills, and Education
- Minimum 4 years of related experience managing contracts and contractual operations in a SaaS company; experience must include drafting and negotiation of subscription/SaaS technology contracts.
- Contract literacy – ability to comprehend and analyze contracts and understand the legal implications and obligations for the parties involved.
- Analytical/effective problem-solver capable of understanding complex information and drawing logical conclusions based on the information provided
- Ability to follow and understand written multi-step processes
- Ability to work independently with minimum supervision, shift focus, adapt to changing priorities, maintain patience in high pressure situations, deliver on-time and against commitments and take initiative where appropriate
- Excellent communication and people skills that enable cross-functional collaboration with all levels and functions across the company and with external clients
- Strong organizational skills and refined project management skills. Must be meticulously detailed and responsive
- Strong technical skills and a deep understanding of the tools used by in-house commercial legal teams to facilitate the contracting process for revenue, including tools used for contract generation, editing, routing, tracking and signature (e.g., Adobe, Jira, SalesForce, Slack, CPQ, and DocuSign)
- Flexibility to work extended hours during peak periods of business, such as month-end and quarter-end
- Bachelor's degree in business, management, pre-law or other advanced education/training in a related field preferred.
Salary range $75,000 - $100,000 plus benefits, bonus opportunities and stock options. Final salary may vary depending on skills, location, and/or experience.
