The Role
We are looking for a Commercial Counsel reporting to the Company’s Head of Legal to establish and grow the legal team. As Commercial Counsel working from our state of the arts office in Fort Lauderdale, you will primarily be responsible for supporting our Go-to-Market organization, including Sales, Customer Success and Support teams, in solving a wide variety of legal challenges. This role is critical to ensuring smooth operations as we scale and become the DEX category leader.
Responsibilities
- Providing practical, business-oriented legal advice to different GTM functions.
- Drafting, reviewing and negotiating a variety of inbound and outbound commercial agreements, including NDA’s, client agreements, vendor contracts, partner agreements, master subscription agreements, reseller/partner agreements, DPAs and other types of commercial and privacy agreements with a broad range of commercial customers as well as government agencies.
- Maintaining and improving our contract repository and related processes.
- Supporting contract lifecycle, including partnering with revenue, sales, technology, and compliance teams to ensure agreements are consistent with internal policies, processes, product capabilities, contractual obligations and compliance requirements.
- Building critical relationships with key stakeholders to effectively provide practical legal and strategic advice.
- Keeping informed on applicable laws, regulations, and industry guidance that impact the Company’s business sector.
- Utilizing outside counsel effectively and guiding escalations to appropriate senior leaders.
Requirements
- JD degree from an accredited school and admission to a US bar in any state.
- 2-4 years of legal experience, with a focus on contracts, ideally in-house or at a leading law firm, supporting the hi-tech, commercial or technology sector.
- Strong organizational skills, with the ability to manage multiple priorities and deadlines.
- Strong negotiating skills with both legal and commercial issues.
- Willingness to support teammates across a range of time zones.
- Collaborative team player with a proactive, solution-oriented approach.
- Strong communication skills and an ability to build relationships with key stakeholders.
- Creative thinker with strong problem-solving skills and an ability to find solutions to challenging legal and commercial issues.
- Ability to work well independently.
- Highly motivated, with excellent attention to detail.
Nice to Have
- Experience working directly with a sales team is highly preferred.
- SaaS background.
- Experience in counseling in privacy and/or data security
