The Associate General Counsel is a key member of Xometry's Legal Department, providing strategic legal advice and counsel to the company on a wide range of legal and business matters. This role requires a high-level of legal expertise, strong business acumen, and the ability to navigate complex legal and regulatory landscapes. The ideal candidate will be a proactive, results-oriented attorney with excellent communication, analytical, and problem-solving skills and the ability to thrive in a fast-paced, global environment.
Responsibilities:
Legal Counsel and Support:
- Provide legal advice and counsel to various departments within the company on a wide range of global legal and business issues
- Draft, review, and negotiate a variety of contracts, including commercial agreements, vendor agreements, licensing agreements, and employment agreements
- Conduct legal research and analysis on a variety of global legal issues
- Assist with corporate governance matters, including board and committee meetings, shareholder matters, and legal entity administration
- Advise on and assist with intellectual property matters, including trademark, copyright, and patent protection
- Advise on and assist with employment law matters, including hiring, termination, discrimination, and harassment
- Assist in compliance, including monitoring of global legislation and regulations, as well as review and implementation of policies
- Assist with drafting, reviewing and filing required filings with the US SEC
Business Development Strategy:
- Provide legal support for business development initiatives, including M&A transactions and strategic partnerships
- Advise on and mitigate legal and regulatory risks associated with new business ventures both domestically and internationally
- Identify and implement legal strategies to support the company's overall business objectives
Team Leadership and Management:
- Lead and mentor a small team of legal professionals
- Foster a positive and inclusive work environment and provide coaching, guidance, and professional development opportunities to team members
- Delegate effectively and ensure efficient workflow within the team
- Recruit, hire, and onboard new team members
Qualifications:
- J.D. from an accredited law school and admission in good standing to practice law in at least one U.S. state, preferably in Washington, D.C., Maryland, or Virginia
- 10+ years of relevant legal experience with 5+ years of in-house experience, preferably within a technology company
- Strong understanding of corporate law, commercial law, and other relevant areas of law
- ITAR/export control knowledge preferred
- Ability to prioritize and undertake mission critical tasks, providing exceptional service to various stakeholders
- Ability to communicate clearly, concisely and professionally with all levels of management regarding complex legal issues
- Strong analytical and problem-solving skills with the ability to work independently and as part of a team
- Highly organized and able to manage multiple projects and deadlines effectively
- Strong ethical and professional judgment
