MEG Corp. is growing, and we’d love to have you join our team! We are currently seeking an Associate Counsel, M&A in our Rock Island, IL office. The Associate Counsel M&A will be responsible for overseeing and executing complex M&A transactions, providing expert legal guidance, and ensuring compliance with regulatory requirements. Reporting directly to the Chief Legal Officer, this position advises on strategic acquisitions, mergers, divestitures, and joint ventures. This position works closely with the M&A team and supports IMEG’s litigation and project claims, as time permits.
Principal Responsibilities

Review Letter of Intent drafts as directed by CEO

Work with the M&A Team to maintain and update due diligence list

Review data room documents, and advise M&A and opposing counsel as to additional documents needed and any identified issues

Draft purchase agreement and related documents and negotiate with opposing counsel

Prepare all closing documents, working with other departments as needed to close the transaction and complete mergers

As time permits, assist Legal Department with litigation and project claims

Perform other duties as assigned
Required Skills/Abilities:

Highly organized, with good time management skills

Ability to multi-task and prioritize in order to meet deadlines

Excellent written and verbal communication skills

Ability to work with sensitive information and maintain confidentiality

Outstanding ability to analyze and negotiate complex legal issues

Positive, collaborative attitude, with the ability to work well with co-workers and outside counsel

Ability to travel up to 25% of time, with occasional overnight stays
Education and Experience

Juris Doctorate Degree required from an accredited American Bar Association (ABA) law school required

Admission to at least one state bar

4 or more years of mergers and acquisition experience in law firm or corporate legal department

Architecture, Engineering, and Construction (AEC) industry experience preferred

Experience in litigation or litigation management

Prolonged periods of sitting at a desk and working on a computer

Must be able to lift up to 15 pounds at times
Salary Range $135,000 - $170,000. Minimums and maximums may vary based on location. Individual pay will be based on several factors including experience, knowledge, skills, and abilities of the applicant. Other rewards may include annual bonuses and stock ownership options. In addition, IMEG Corp. provides a variety of benefits to employees, including health insurance coverage, an employee wellness program, life and disability insurance, a retirement savings plan, paid holidays, and paid time off (PTO).
