Compensation
The compensation target range for this role is:
$85,900 - $101,000
Job Summary
The Sr. Contracts Paralegal (CP) is a staff position reporting to the Deputy General Counsel in the Company. The CP also will work closely with the Company contracts team and internal business partners. The CP will have knowledge and understanding of commercial contracts, and experience reviewing and negotiating, drafting, and tracking contracts through the full contract lifecycle. This person will work collaboratively as well as independently and will need to have strong interpersonal skills and be intellectually independent, a team player, and highly motivated. This person will handle a high-volume workload in a fast-paced, deadline-oriented environment.
Job Description
Essential Duties & Responsibilities:
- Review, analyze, negotiate, and draft contacts, including services agreements, purchase and sales agreements, marketing contracts, sourcing and vendor agreements, amendments, NDAs, renewals, and all ancillary documentation.
- Mitigate legal risks with an understanding of business objectives.
- Manage/facilitate the end-to-end contracting process, including contract design, drafting, contract approval process, submission of contract drafts to internal stakeholders for review, managing the redline process with vendors and approved contract execution.
- Prepare contract summaries and risk assessments.
- Create and maintain standardized templates, checklists, guidelines, best practices and workflows to support contract negotiation workflows.
- Draft, revise, help prepare and maintain various legal documents, including contracts, templates, reports, correspondence, presentations, and other documents.
- Assist in litigation processes, including discovery requests and tracking filings and deadlines.
- Collaborate on legal team special projects and initiatives.
- Perform other duties as assigned.
Required Skills, Education, Experience:
- Seven or more years’ experience as a contracts paralegal and/or contracts manager negotiating contracts in an in-house or law firm environment or equivalent setting.
- Completed an ABA-approved paralegal certificate program
- Strong understanding of commercial contracts
- Ability to identify key legal issues, develop and draft proposed solutions, using judgment and discretion in identifying issues for escalation.
- Analytical, strong problem-solving and critical thinking skills
- Experience developing, implementing, and using legal department technology solutions (e.g., Microsoft O365, contract lifecycle management, document management systems and related workflow and content management platforms).
- Experience working in team settings.
