Overview:
We’re looking for a Senior Corporate Paralegal at Sword Health to join our fast-paced health-tech and health services startup. You will be responsible for proactively overseeing a variety of activities and functions, including corporate governance, entity management, equity program administration, compliance and diligence support, and other special projects. The Legal team is small but very dynamic and effective, and this role will have a high-impact on the future of the company. We need someone that is eager to jump in and contribute.
Responsibilities:
- Support board and committee meetings, including preparing meeting materials and agendas, resolutions, exhibits and related materials.
- Maintain accurate corporate records, including articles of incorporation, bylaws, and board and committee meeting materials, minutes, and resolutions.
- Set up, maintain and manage the corporate obligations of all Sword’s domestic and international subsidiaries to ensure all subsidiaries are in good standing and comply with all necessary formalities.
- Serve as a key administrator for our equity program, utilizing Carta software to manage equity grants, vesting schedules, and other participant records.
- Collaborate with cross-functional teams to ensure accurate documentation, approval, record-keeping, and financial reporting of equity grants and transactions.
- Assist in the review and maintenance of equity-related agreements and documentation, ensuring compliance with legal and regulatory standards.
- Assist in the communication of equity program details and updates to employees, including equity grant notifications and equity plan education.
- Monitor and track applicable regulatory requirements.
- Support internal and external audits and due diligence processes.
- Liaise with internal and external stakeholders, including legal counsel, service providers, and regulatory agencies, to facilitate communication, address inquiries, and provide guidance and assistance.
- Collaborate closely with legal leadership, corporate counsel, legal operations and our HR and finance teams to support special projects and initiatives.
- Collaborate with cross-functional teams to implement and maintain efficient document and records management policies and procedures to ensure proper creation, organization, retention, and disposal of corporate records; identify opportunities for enhancing records management practices.

Qualifications:
- At least five (5) years of applicable experience as a paralegal in corporate, securities and/or M&A practice areas, with experience at a top-tier law firm with a preference for additional experience in an in-house legal department at a fast-paced pre-IPO company.
- Demonstrated knowledge of private company governance requirements, organizational documents, and corporate entity structures.
- Experience and familiarity with equity program administration, preferably using Carta software.
- Excellent written and verbal communication skills, with the ability to communicate complex concepts effectively.
- Exceptional organizational skills and attention to detail, with the ability to manage multiple priorities in a fast-paced environment.
- Proficiency in Microsoft Office suite or Google suite and ability to analyze, summarize and synthesize data and create reports, preferably using Microsoft Excel or Google Sheets.
- Professional certification (e.g Certified Corporate Secretary or Certified Equity Professional) is a plus.
