Position Title
Senior Corporate Paralegal
Position Summary
The Senior Corporate Paralegal is responsible for comprehensive management of all matters relating to state insurance regulatory filings, U.S. legal entity/subsidiary management, U.S. Board of Directors meetings, enterprise-wide corporate governance support, and other legal team support across the company. As a key member of a collegial, supportive legal team, the Senior Corporate Paralegal will collaborate with senior management, internal and external board members, external advisors and stakeholders across the organization.
Position Description:

Manages U.S. legal entity registrations, annual reports, licensing, etc.

Prepares insurance regulatory filings and responds to inquiries from state insurance regulators

Provides support to independent auditor, financial reporting group, and other internal stakeholders related to corporate governance and other entity matters

Supports legal team on large-scale M&A transactions, including review of non-disclosure agreements, document preparation, and post-closing integration and administration

Manages Board of Directors meetings for U.S. entities, including drafting agendas, resolutions, and minutes and coordinating collection and distribution of meeting materials

Maintains corporate records and stays current with respect to best practices for corporate governance and secretary functions and services

Supports investment management counsel/function with administrative and transactional matters
Qualifications:

Bachelor’s Degree with 5-10 years of hands-on experience working in a corporate legal function

Prior experience in the insurance/financial services sector strongly preferred

A broad knowledge of corporate secretary department practices; proficiency in Diligent BoardBooks a plus

Substantive knowledge of relevant laws and regulations, and legal research and reasoning skills necessary to identify and resolve issues as they arise

Excellent organizational skills and attention to detail necessary to manage and drive projects and tasks to completion

Clear communicator with strong interpersonal skills who can work collaboratively on a variety of projects and with colleagues at all levels of the company

Ability to work independently and exercise a high degree of discretion and judgment

Flexibility to adjust to changing priorities in a fast-paced environment
Location: New York, NY (generally 1-2 days/week in the office, may be more)

The salary range reflects figures based on the primary location, which is listed first. The range for the role may differ based on the location.
