Position Summary
The Senior Corporate Counsel provides advice and counsel to FHLBank managers and FHLBank subject matter experts on legal matters, researches and performs legal analysis, and writes legal opinions and memoranda on issues affecting FHLBank. With respect to individual assignments, the attorney will work directly with the client but under supervision of the General Counsel or her designee. The Senior Corporate Counsel is responsible for meeting the performance requirements, deadlines and standards established for these assignments by the client and the assigning department attorney(s).
Primary Success Factors

Provides expertise and counsel to internal Bank staff on legal matters within areas of specialization.

Reviews, analyzes, edits and drafts vendor contracts and other Bank transaction agreements as assigned.

Anticipate legal issues within the attorney’s area of expertise and identify proactive solutions that will eliminate or mitigate risks to Bank.

Researches, performs legal analysis, and writes legal memoranda on issues affecting the Bank in its banking and corporate capacities as assigned by department attorneys.

Stays current with the law, including statutes, and regulations affecting the Bank.

Performs additional duties and special projects as assigned in a timely, accurate manner.

Represents the Bank in System working groups, administrative hearings, and Bank management committees to ensure the effective representation of the Bank’s interest.

Ensures compliance with applicable policies, procedures and regulations to ensure safe and sound business operations.

Effectively communicate to nonlawyer clients.
Required Experience
-
Law Degree with a license to practice in the Commonwealth of Pennsylvania.

At least 5 years of experience in a law firm or corporate environment.

At least 2 years of experience working with regulatory agencies (federal or state).

At least 2 years of experience working in a corporate environment handling complex and sensitive legal matters with management.

Working knowledge of one or more areas of the Bank and legal principles that are applicable to those areas: banking, commercial transactions, vendor/third party agreements, general corporate, disclosures and reporting, capital markets, privacy and data mgmt., financial services and/or financial institutions.

Basic Knowledge of capital markets, real estate, financial analysis, economics, accounting principles or financial statements is desired.

Requires routine level of management oversight.

Understanding of or experience working in a regulated industry (banking, mortgage banking, real estate or financial services insurance) is preferred.
Additional Success Factors/Experience

Provides advice and counsel to Bank managers on relatively complex and demanding legal matters including as the primary areas served a) complex Bank vendor contracts (including moderate and complex IT contracts; b) Bank data, privacy and security legal issues (including compliance and risk management issues

Reviews, analyzes and negotiates vendor agreements (including complex IT vendor agreements with data protection, privacy and security issues) leases, contracts and other vendor agreements; handles other general matters.

Serves as one of the Bank’s primary attorneys for complex IT contracts including understanding applicable data privacy and data security requirements as well as vendor management requirements (including regulatory expectations).

Working knowledge of complex IT contracting, including cloud, data privacy and data security is desired.

Knowledge of procurement processes and vendor risk management is desired
