Job Description
Position Summary:
The Senior Associate/Vice President, will be a key contributor of our growing credit team and will report to our Head of Legal for Brookfield Credit. The role will be based in Brookfield’s New York city offices at Brookfield Place.
The role provides support across a broad range of regulatory matters and business initiatives or alternative investment products including Private Loans, Term Loans, LPs, and Third-Party Funds in a variety of investment structures.
The Senior Associate/Vice President will work closely with internal teams responsible for Portfolio Management, Risk Management, Investment Operations, Finance, and will often interact with various external parties such as auditors, regulators, and other outsourcing providers.
Responsibilities:
Asset Management

Work directly on a wide variety of asset management transactions, including joint ventures and strategic partnerships and new client engagements

Support and collaborate with investment teams, finance, tax, compliance and operations departments

Periodically assist with investment transactions, including diligence, structuring and negotiating credit investment transactions

Provide support and collaboration with external managers that are owned by Brookfield

Provide regulatory analysis and advice with respect to the business

Collaborate with the compliance team on conflicts of interest, policies and procedures, allocation of investment opportunities and other regulatory matters

Support other general matters that arise in the context of BCG’s businesses
Capital Markets Activities

Support Brookfield’s broker dealer business in its origination and syndication activities, including review and negotiation of commitment letters, underwriter agreements, credit agreements and prospectuses

Provide securities law advice with respect to participation as an underwriter in syndicated transactions, including applicable FINRA regulations
Corporate Governance and General

Assist with corporate governance functions including Brookfield’s investment approval framework, internal conflicts resolutions procedures, preparing resolutions, entity management and ensuring a robust governance framework is maintained

Provide strategic legal advice on applicable laws and regulations and developments in laws as they impact Brookfield’s Credit business or clients

Review and negotiate agreements including NDAs, and service provider agreements including valuation agents, rating agencies, consultants and others

Selection and supervision of external counsel

Supporting ad-hoc requests and analysis as needed, and other special duties and projects as assigned
Qualifications & Requirements:

New York bar admission
-
Minimum of 4-6 years’ experience at a major law firm and/or investment firm focusing on investment management and/or private credit

Capital markets experience, including working on syndicated securities transactions, is a plus
-
Fund formation and SMA negotiations is a plus

In depth knowledge of investment management industry and U.S. securities laws

Strong communication skills with the ability to present clearly and offer practical advice

Self-motivated and proactive with the ability to operate independently
