The Regional General Counsel will be responsible for providing leadership, guidance, direction, and assistance in connection with a wide variety of legal, regulatory, compliance, and business matters in Japan for Danaher businesses. The successful applicant will need to demonstrate an ability to assess the needs of the business from a legal and regulatory perspective and collaborate with legal, compliance and business colleagues to develop, implement, and maintain the compliance programs for the company to include implementing written policies, procedures, and standards of conduct, leading effective training programs, conducting internal monitoring and auditing, and directing compliance-related investigations to respond promptly to concerns raised and take appropriate corrective actions to remediate identified issues. The Regional General Counsel will be a member of the Japan Regional Board.

This position reports to the General Counsel, Danaher High Growth Markets with a dotted line report to the President, Danaher Japan and is part of the Legal & Compliance team located in Tokyo, Japan and will be an on-site role.

Job Description General Counsel, Japan

In this role, you will have the opportunity to:

  • Gain a solid understanding of Danaher businesses in Japan, their goals, and challenges and identifying appropriate legal and compliance strategies to facilitate those goals and minimize those challenges
  • Act as a strategic business partner for senior leadership on matters of major importance to the company and provide information related to all aspects of the company’s legal and compliance activities
  • Work with the High Growth Markets legal & compliance team to identify and mitigate compliance risks and develop appropriate countermeasures. Conduct compliance-related investigations and implement action plans to remediate identified issues
  • Identify potential areas of compliance vulnerability and risks in Japan; develop and implement corrective action plans for resolution of problematic issues, and provide legal guidance on how to avoid or deal with similar situations in the future
  • Partner with appropriate business functions to deliver supplemental compliance training that further amplifies the corporate program, engages employees, and addresses specific needs within Danaher Japan
  • Negotiate, strategize and document commercial transactions, contracts, and other legal arrangements including distribution and sales agency transactions
  • Develop appropriate approaches to dispute resolution, lawsuits, and arbitrations; providing regular, clear communication of litigation issues and opportunities to the affected business and legal function
  • Assist Danaher with mergers & acquisitions in Japan, consistent with relevant experience – from due diligence to documentation depending on the situation and background
  • Assist HR colleagues with labor law support
  • Assist Quality and Regulatory Affairs colleagues with regulatory law support
  • Select appropriate outside counsel and work closely with them
  • Be willing to work on the smallest and simplest, as well as the most complex, legal matters faced by the company
  • Provide legal support for inter-OpCo deals and various external partnerships, ensuring legal risk management and strategic alignment.
  • Actively collaborate with GMs on Growth Initiatives within the Danaher Japan Board, contributing legal insights to support and drive business expansion strategies

The essential requirements of the job include:

  • A law degree from a well-recognized Japanese, U.S., Australian and/ or European law school.
  • A bar license in Japan is required.
  • Extensive exposure to and success in a dynamic business environment.
  • Minimum of ten years of practice post qualification Law firm experience, preferably international, or equivalent in-house experience, or combination of the two Substantial responsibility in various areas of law and/or business.
  • Experience in healthcare industry preferred. In-house experience preferred; some experiences that suggest an ability to hit the ground running in a complex, matrixed organization is a must
  • Ability to travel domestically and internationally as needed
  • Fluency in both Japanese and English
