Job Description

Regional General Counsel, Americas

Analog Devices is a world leader in the design, manufacture, and marketing of a broad portfolio of high-performance analog, mixed-signal, and digital signal processing (DSP) integrated circuits (ICs) used in virtually all types of electronic equipment. Since ADI’s inception in 1965, we have focused on solving the engineering challenges associated with signal processing in electronic equipment. Used by over 100,000 customers worldwide, our signal processing products play a fundamental role in converting, conditioning, and processing real-world phenomena such as temperature, pressure, sound, light, speed, and motion into electrical signals to be used in a wide array of electronic devices.

ADI is seeking an experienced lawyer to serve as our in-house Regional General Counsel for our Americas region advising on regional legal matters and overseeing a team of business lawyers known as LRO Business Partners supporting ADI’s Global Business Units, Global Customer Office (sales), procurement, and other key business functions. This role will report directly to Shelly Shaw, ADI’s General Counsel and Assistant Secretary and will be a key member of the Legal and Risk Optimization (LRO) organization.

PRIMARY DUTIES AND RESPONSIBILITIES

The ideal candidate will gain an in-depth understanding of ADI’s business, its risks and opportunities, and be capable of advising the company and its senior leadership regarding the same on a regular basis. The ideal candidate will also have the depth and breadth of skills and experience needed to have primary responsibility over the following matters:

  • Serve as key business partner to the business to identify and mitigate legal risks and provide legal and regulatory advice on a broad range of issues affecting ADI’s business including strategic contracts, corporate transactions, finance and tax transactions, commercial and procurement support, regulatory requirements, compliance with policies, among others
  • Lead and mentor our high-performing team of US-based LRO BP lawyers and staff
  • Serve as an accountable, strategic business partner to our Americas leadership providing actionable advice that can be swiftly incorporated into risk-based, strategic decisions
  • Partner with a broad network of internal stakeholders, including colleagues in the sales, finance, procurement, operations, and IT organizations, as well as the LRO, to drive and support LRO initiatives, including ongoing evolution of business strategy, commercial practices, contractual processes and protocol to improve and streamline the legal experience for internal clients for commercial and procurement/vendor transactions, among others
  • Perform special projects and support continuous improvement of LRO department standard work, knowledge management, and processes
  • Provide timely and accurate interpretations of the various laws and regulations affecting the company’s business in the Americas to senior leadership and operating personnel; keeping them apprised of the types of actions that require consideration and providing internal guidance regarding potential legal and risk issues
  • Craft and review legal strategy in response to litigation
  • Manage and assist internal clients with resolving legal and risk issues in a manner consistent with enterprise business philosophy, values and strategy, and in compliance with legal and regulatory requirements

SUPERVISORY RESPONSIBILITIES

  • Manage team of in region legal business partner direct reports
  • Supervise and manage external legal counsel supporting legal projects

 QUALIFICATIONS

  • Juris Doctor from accredited law school
  • 15+ years’ experience, with a mix of in-house (preferably at a publicly-traded company) and “top tier” law firm work
  • Management experience, preferably overseeing a team of in-house lawyers and paralegals
  • Broad direct experience with a variety of legal matters, including strategic business agreements, information security and compliance, privacy, corporate governance, intellectual property rights and real estate matters. 
  • Deep expertise in commercial contract negotiation
  • Strategic sense to build a team and processes, but tactical enough to execute on a day-to-day basis
  • Experience working in a fast-paced environment, with a history of advising in real-time in meetings, including to executive leadership team, providing accurate guidance and pragmatic solutions
  • Strong analytical, prioritizing, interpersonal, problem-solving, presentation, budgeting, project management (from conception to completion) and planning skills
  • Strong verbal and written communication skills (including analysis, interpretation, and reasoning) and executive presence
