Purpose of the role

To ensure that activities of the investment banking division are conducted in compliance with applicable laws, rules and regulations, and to help the bank manage legal and reputational risks associated with these activities. 

Accountabilities

  • Development and implementation of best practice legal strategies to manage risk related to non-adherence to laws, rules and regulations.   .
  • Legal advice and support to the bank's investment banking division on legal matters including mergers and acquisitions, securities offerings, lending and other corporate finance transactions.
  • Subject matter support in the Legal department’s representation of the bank in legal proceedings related to investment banking activities, such as litigation, arbitration, and regulatory investigations.
  • Creation and/or review of legal documents for the investment banking division to ensure the bank’s adherence with applicable laws, rules and regulations. Maintaining and updating form legal documentation for the investment banking division.
  • Legal research and analysis to stay up to date on changes in laws, rules and regulations that may impact the bank's investment banking activities.
  • Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the investment banking activities.
  • Act as legal advisor to the Investment banking transaction approval committees on laws, rules and regulations.

They will lead collaborative, multi-year assignments and guide team members through structured assignments, identify the need for the inclusion of other areas of specialisation to complete assignments. They will train, guide and coach less experienced specialists and provide information affecting long term profits, organisational risks and strategic decisions..
  • Advise key stakeholders, including functional leadership teams and senior management on functional and cross functional areas of impact and alignment.
  • Manage and mitigate risks through assessment, in support of the control and governance agenda.
  • Demonstrate leadership and accountability for managing risk and strengthening controls in relation to the work your team does.
  • Demonstrate comprehensive understanding of the organisation functions to contribute to achieving the goals of the business.
  • Collaborate with other areas of work, for business aligned support areas to keep up to speed with business activity and the business strategies.
  • Create solutions based on sophisticated analytical thought comparing and selecting complex alternatives. In-depth analysis with interpretative thinking will be required to define problems and develop innovative solutions.

Join Barclays as VP, Investment Banking Legal. Provide legal support to businesses involved in equity and debt capital markets, syndication, initial public offerings, mergers and acquisitions advisory services. You will be responsible for structuring, negotiation, and documentation of underwriting/purchase agreements, engagement letters, and confidentiality agreements. Additional responsibilities include advising on relevant business laws, rules and regulations, and legal issues such as SEC, FINRA broker dealer rules, state M&A law, and conflict of interest. The breadth of the work that Barclays does is different than other in house investment banking. Our lawyers do it all. It is a much broader practice and you will get a much broader exposer and deeper knowledge of the products.

To be successful as a Project Arthur IBD – Legal VP, you should have experience with:

  •  Experience with Transactional Law

  •  Knowledge of Capital Markets Transactions

  •  Contract Negotiation Experience

  •  State M&A Law

Minimum Salary $280,000
Maximum Salary $311,250
