We are looking for an experienced corporate and securities lawyer to join our growing legal team and work on a broad range of corporate and securities matters. Reporting to the Senior Director, Corporate and Securities Counsel, you will lead corporate, securities and governance matters and help develop processes to increase efficiencies in the delivery of legal advice and services, while being a partner to the finance, tax, equity, and People teams.

You Will:

  • Lead the preparation of the company’s NYSE submissions and SEC filings, including 10-Ks, 10-Qs, risk factors, and 8-Ks
  • Support review of earnings related materials, including earnings releases, presentations, and other public-facing corporate communications
  • Lead preparation of the Company’s proxy statement and Company’s annual meeting materials in collaboration with partners, including finance and investor relations functions
  • Support the preparation of board and committee meeting materials and minutes and provide general board and committee support
  • Provide legal advice and counsel related to the management of our domestic and international subsidiaries
  • Provide legal support on executive compensation matters, equity plans, and equity administration, as well as advising on our insider trading policy and 10b5-1 trading plans
  • Develop strong working relationships across the company with cross-functional stakeholders, including in Finance, Accounting, Treasury, Investor Relations, and the People teams
  • Support the management of outside counsel on various matters, as needed.
  • Support and lead special projects as requested

You Have:

  • CA Bar admission with strong academic credentials
  • 10+ years of strong corporate and securities law experience, with significant experience in advising publicly traded companies
  • Experience in-house at a publicly-traded company preferred, with relevant prior experience from a top law firm
  • Advocate for a position while maintaining a collaborative approach
  • Ability to thrive in a fast-paced environment and to manage time-sensitive matters
  • Managed your workload independently and in partnership with other teams, multitask with ease, and manage internal and external partners
  • Managed a broad portfolio of projects assigned

For roles that are based at our headquarters in San Mateo, CA: The starting base pay for this position is as shown below. The actual base pay is dependent upon a variety of job-related factors such as professional background, training, work experience, location, business needs and market demand. Therefore, in some circumstances, the actual salary could fall outside of this expected range. This pay range is subject to change and may be modified in the future. All full-time employees are also eligible for equity compensation and for benefits.

Annual Salary Range

$334,420$365,420 USD

Roles that are based in our San Mateo, CA Headquarters are in-office Tuesday, Wednesday, and Thursday, with optional in-office on Monday and Friday (unless otherwise noted).
