Job Description

Legal Counsel – Commercial Contracts and Supply Chain

Purpose of the Role:

Provide legal support for a variety of global commercial and supplier transactions and related matters.  Partner closely with supply chain, operations, logistics, quality, and procurement teams to provide comprehensive guidance across their core activities, including contract manufacturing and supplier management, transportation and logistics, quality, and responsible sourcing compliance.

Provide timely and practical legal advice in a fast-paced environment, with careful balancing of risks in light of commercial and strategic goals. Work closely with others in the Legal Department who support product, technology, IP, compliance, and other functions.

Ideal candidates will have deep experience in drafting and negotiating complex commercial contracts.  They will have experience in assessing risk and driving results that balance minimizing risk while achieving business objectives.  They will exhibit tenacity and grit in the face of challenging negotiations.  They will be interested in the operational and execution activities of a value chain.  They will have excellent attention to detail, especially in ensuring accuracy of complicated contract provisions.  They will be intellectually curious, patient and practical problem solvers.

Areas of Focus:

Advise and provide thought leadership on supply chain and commercial contracting matters, including the optimal structuring of relationships, supplier risk assessment and management, regulatory compliance, and supplier dispute resolution.

Advise and support internal client teams on transportation and logistics matters, including warehouse and distribution center support and providing legal advice on the international transportation of goods regulations.

Draft, negotiate and review agreements relating to contract manufacturing, raw material and component suppliers, logistics and transportation, and indirect procurement, securing desired business terms and legal protections.

Monitor developments in global responsible sourcing regulations, including regulations relating to forced labor, supply chain transparency, and supplier due diligence.  Synthesize requirements and support the business in implementing processes to ensure compliance.

Establish and build good working relationships with internal clients and senior leaders, based on mutual trust and respect, as well as knowledge of the company’s business, needs, and goals.

Develop and implement contract templates, playbooks and related processes to achieve efficiencies and best practices in contracting activities.

Maintain updated knowledge of legal and regulatory developments that are relevant to supply chain management, procurement and the international distribution of goods.

Experience

Juris Doctorate (J.D.) degree from an ABA accredited law school and admission to at least one U.S. state bar required

Minimum of 5 years' experience in a law firm or in-house legal department working on matters relating to complex commercial contracting and regulatory counseling

Robust experience drafting and negotiating complex, high-volume commercial contracts, especially those relating to contract manufacturing, raw material and component suppliers, direct material procurement, logistics/3PLs, and transportation carriers

Experience advising clients on procurement and supply chain issues

Experience in researching and effectively communicating global regulatory requirements; ability to synthesize requirements and support the business in implementing processes to ensure compliance

Familiarity with responsible sourcing and supply chain compliance regulations covering topics such as forced labor, anti-corruption/bribery, supply chain transparency, conflict minerals, and supplier due diligence/transparency

Understanding of the workings of international supply chains and how supply chain management drives business outcomes

Experience managing outside counsel in multiple jurisdictions

Additional experience preferred, but not required:  experience with global trade compliance matters (import/customs, export controls, sanctions, etc.).
