The Legal Commercial Counsel is responsible for supporting Esko's software licensing and SaaS deals with its global customers and will be located in Gent, Belgium (hybrid).

In this role, a typical day will look like:

• Reviewing, negotiating and managing sell-side software licensing and SaaS agreements.
• Drafting, reviewing, negotiating and managing other commercial transactions agreements such as partnership agreements, procurement agreements, NDA’s and Data Protection Agreements.
• Acting as a trusted legal resource in providing guidance and training to business leaders and sales/service employees on contract negotiation and other commercial law topics such as distributor management, competition laws, compliance, and privacy.
• Gaining a solid understanding of the business, its goals and challenges and identifying appropriate commercial contract strategies to facilitate those goals and minimize challenges on a global basis.
• Assisting, on occasion, with mergers & acquisitions, consistent with relevant experience – from due diligence to documentation and integration planning.

The essential requirements of the job include:

• Law degree
• 6-8 years of experience in an international law firm or in a multinational company, or combination of the two. Experience as an in-house counsel is preferred.
• Significant experience in handling software related matters with a particular focus on SaaS, other forms of software licensing and hosted services.
• Experience with IT security and data privacy.
• Experience negotiating with large multi-national companies (such as consumer packaging, automotive, food/beverage, pharmaceutical, electronics, etc.) is considered an advantage.
• Exceptional verbal & written communication (fluent English and strong French).
• Must be able to travel domestically and internationally as needed, up to 20% of time.
