Provides timely and effective advanced-level legal support to attorneys and clients and will collaborate with other paralegals and members of the Law Department to ensure public company securities compliance and support the Corporate Secretary with respect to preparing for meetings of Discover's Board of Directors. This paralegal will manage complex projects and collaborate effectively across groups and anticipate and initiate routine legal tasks independently and as requested by attorneys. This role should be comfortable interfacing with the highest levels of management within the company. Actively manages and escalates risk and customer-impacting issues within the day-to-day role to management.
Responsibilities

  • Assist with all aspects of subsidiary governance, including preparation of governing documents (bylaws, operating agreements), officer and director appointments and preparation of annual consents.
  • Support business partners in the preparation of various types of corporate documentation, including shareholder and member consents, resolutions, officer certificates and production of records and reports to support regulatory and tax filings and treasury banking and KYC requirements.
  • Assist in the development, implementation and management of subsidiary governance guidelines, policies and procedures.
  • Manage all aspects of entity maintenance, including foreign qualifications, and knowledge of entity management systems
  • Maintain electronic corporate minute books and records
  • Support special corporate governance projects.
  • Responsible for leading the internal preparation, coordination and successful execution of DFS Board Meetings. Responsibilities include establishing agendas, facilitating review of agendas, delivery and posting of materials and significant interaction with the Board and senior management on Board related matters
  • Prepare and manage execution of written consents and resolutions for a variety of board actions and secretary and incumbency certificates and maintain appropriate records including minute books
  • Prepare and draft routine securities filings such as Section 16 filings and 8-K filings
  • Manages and leads the Board director education program, including identifying and communicating opportunities to directors and ensuring appropriate reporting to the Board
  • Identifies and adopts technology to enhance operation of the Board, including managing the electronic board portal platform for board material


Minimum Qualifications
At a minimum, here's what we need from you:

  • Bachelor's degree in social sciences, Business Administration or Management, Finance, Accounting, or related field.
  • 4+ years of experience as a Paralegal or legal assistant working on public company reporting.
  • 4+ years of experience in compliance for a law firm or in-house legal department.

Compensation:
The base pay for this position generally ranges between $75,500.00 to $127,900.00. Additional incentives may be provided as part of a market competitive total compensation package. Factors, such as but not limited to, geographical location, relevant experience, education, and skill level may impact the pay for this position.
