Job Description
The Legal Department is organized by Practice Groups that conform to the organization of the Firm's line of business and corporate staff areas. Each Practice Group has a General Counsel who is the Practice Group Head and who reports to the Firm's General Counsel. This structure provides the means for the Legal teams to communicate legal and regulatory changes to the business and staff areas and for the lines of business and staff areas to communicate business developments that have legal or regulatory implications to the Legal teams in a timely manner.
The Associate, Counsel will be part of the Legal Support Team that provides legal support to various Lines of Business and Practice Group attorneys within the Legal department. The successful candidate may be responsible for delivery of one or more functions with a focus on specific Practice Groups and/or region.
We are currently seeking an experienced transactional lawyer with a strong background in general corporate law, corporate governance, and involved in large projects and operations to support with corporate and transactional matters.
Job Responsibilities
- Drafting, reviewing and negotiating a variety of corporate documents with clients, including non-disclosure agreements (NDAs), non-reliance letters (NRLs), and joinder agreements.
- Assisting attorneys with release letters, liability waivers, payoff letters, work product agreements.
- Assisting attorneys with master repurchase agreements (MSAs) and with RFP due diligence reviews.
- Conduct legal research and analyze laws and requirements.
- Engage in other special projects, whenever needed.
Required qualifications, capabilities and skills
- Law Degree from a premier law school and membership in jurisdictional organization. Attorney candidates must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located prior to commencement of employment.
- 2-5 years of corporate law experience in a major law firm and/or financial institution.
- Excellent English language skills, both spoken and in writing - required.
- Excellent organizational skills - required.
