This internship opportunity is a paid, part-time opportunity for a Juris Doctor candidate currently enrolled in law school and entering their 2L or 3L year. Precisely Software Incorporated is seeking a Corporate / Compliance Legal Intern to work in our Legal Department. Our ideal candidate will have an interest in working for a global software company and a desire to learn about different aspects of a corporate in-house law practice. As part of Precisely’s fast-paced legal team, you will work with Precisely in-house attorneys, assisting on a variety of projects across multiple business functions, and have contact with internal clients.
The Corporate / Compliance Legal Intern will focus on corporate entity management, updating documents related to M&A, and corporate integration activities. The Corporate / Compliance Legal Intern will also work on corporate policies, procedures and controls, such as export controls, trade sanctions, and environmental, social, and governance (ESG) compliance. The work may cover varied projects requiring research, drafting documents, collecting and analyzing data, updating company records, and preparing internal communications. You will get practical exposure to corporate entity management, corporate documents related to M&A due diligence and integration activities, corporate policies, procedures, and corporate compliance, including those related to international transactions, commercial agreements, and other projects as needed.
Responsibilities and duties:
- Learn about corporate entity management and corporate compliance at Precisely, including maintaining and updating corporate books and records.
- Support the drafting, review, and update of various corporate documents, including those related to M&A due diligence and integration activities.
- Learn about corporate compliance at Precisely, including export controls, trade sanctions, and ESG compliance.
- Support the drafting, review, and update of various corporate policies and procedures, as well as the implementation of various controls across Precisely.
- Review and analyze results of denied party screening, perform related research, provide summaries of findings, and update company records.
- Perform thorough and accurate research to identify politically exposed persons (PEPs) and to confirm beneficial ownership.
- Support additional projects, as needed.
Requirements and qualifications:
- Proven verbal and written communication skills.
- Interpersonal skills and active listener.
- Able to handle sensitive information and maintain confidentiality.
- Able to meet time-sensitive deadlines when necessary.
- Able to handle multiple tasks simultaneously and adapt to changing priorities.
- Proficient with Microsoft Office Suite (including Word, Outlook, Excel, and PowerPoint).
- Experience with Microsoft Teams and SharePoint a plus For the Compliance intern.
