To meet our challenges, we are looking for our next Corporate M&A Legal Counsel (H/F) within the The Corporate-M&A Legal team! This position will be located in La Madeleine (near Lille).

The Corporate-M&A Legal function is at the crossroads of multiple disciplines in every project or transaction, constantly interacting and coordinating with Business, Strategy, Finance, Tax and HR in all jurisdictions across the Group

Mission:

  • Provide internal legal advice and support on M&A projects (including venture capital) and various corporate matters such as reorganizations, carve-out, domestic and cross-border corporate transactions, governance

  • Provide legal support to the business teams across the Group and the various jurisdictions in Corporate and M&A matters

You will be responsible for :

  • Key Acccountabilities :

  • Deliver effective and business-oriented legal advice

  • Improve internal legal corporate organization and Group standards

  • "Grease the wheels" in complex multi-jurisdictional and cross-practice projects to ensure efficiency, progress and remove legal obstacles

  • The Functional Competencies :

  • Comfortable with working in a fast-paced environment with cross-functional and multi-cultural teams

  • Contributor to continuous improvement in providing legal support to the Global Business

  • Proactive engagement and relationship building with colleagues in the Legal Group

  • Fine balance between shielding the Group from legal risks and supporting business endeavors

But also:

  • You hold a Master's degree in Business Law, Bar exam is a plus.

  • You have M&A technical skills: management and coordination of international M&A process, drafting, review and negotiation of M&A transactional documents (e.g. SPA, SHA, TSA), good insights in other legal matters involved in M&A transactions (e.g. Tax, Employment).

  • You have corporate technical skills: company law, governance, internal reorganization and carve-out

  • You have an expertise in both Corporate and M&A matters with a strong multi-jurisdictional component

  • And as we are an international company, you are fluent in English
