Position Overview:
The Contract Manager will be a key member of our legal team, responsible for overseeing contract negotiations related to software licensing, SaaS agreements, and professional service contracts. This role requires an in-depth understanding of software industry contracts, compliance with NORAM and EMEA legal standards, and collaboration with internal stakeholders to support business objectives.
We are seeking a Senior Contract Manager to join our legal team and play a pivotal role in negotiating and managing customer contracts, with a primary focus on Platform-as-a-Service (PaaS) agreements, Master Subscription Agreements (MSAs), and software licensing in cloud-based services. This role also involves ensuring compliance with key regulatory frameworks, including GDPR, DORA, and the EU AI Act, handling supplier agreements, managing Contract Lifecycle Management (CLM) processes, and overseeing data privacy compliance in contractual negotiations.
Additionally, this position will support the business by responding to RFPs, compliance, and due diligence questionnaires, particularly for customers in the UK, Spain, or Germany. The ideal candidate will have a strong background in contract negotiation within the software industry, particularly in PaaS, cloud-based services, and software licensing, and experience working across multiple jurisdictions, including Colombia, the UK, Germany, Spain, and the US.
Key Responsibilities:
- Negotiate draft, and manage software licensing agreements, SaaS, PaaS contracts, and other customer contracts to support the company’s growth and business objectives.
- Ensure compliance with applicable NORAM and EMEA regulations, including GDPR, DORA, and the EU AI Act, while addressing risk management and contractual obligations. Advise internal teams on contract structures, risk mitigation strategies, and commercial terms. Manage data privacy compliance in contracts, ensuring alignment with GDPR and other applicable data protection laws.
- Handle supplier agreements and procurement contracts, ensuring alignment with legal and business requirements.
- Oversee the Contract Lifecycle Management (CLM) system, ensuring efficient contract workflows, storage, and reporting.
- Provide responses to RFPs, compliance, and due diligence questionnaires, with a focus on customers in the US, UK, Spain, and Germany.
- Monitor regulatory developments related to data privacy, cybersecurity, and cloud compliance, updating contract templates and policies accordingly. Streamline contract processes, improving efficiency in contract negotiation, lifecycle management, and renewals. Maintain an organized contract repository and track key contractual obligations and deadlines
Requirements:
- Minimum 5 years of experience in contract management, with a focus on software licensing, SaaS agreements, and cloud-based service Contracts.
- Strong experience negotiating contracts in one or more of the following jurisdictions: the UK, Spain, Germany, or NORAM. While in-depth legal expertise across all jurisdictions is not required, familiarity with key regulatory and contractual considerations in these regions is highly desirable. In-depth knowledge of data privacy regulations, particularly GDPR, and experience incorporating data protection requirements into commercial contracts.
- Excellent negotiation, communication, and analytical skills, with the ability to manage multiple priorities in a fast-paced environment.
- Familiarity with data privacy, security, and compliance laws, particularly GDPR, DORA, and the EU AI Act.
- Excellent communication skills with ability to negotiate internally and externally at high levels; strong writing skills and attention to detail
- Ability to work under short deadlines with minimal notice and minimal supervision; self-sufficient and independent
- JD or equivalent legal qualification preferred
- Fluent in English, proficiency in Spanish and/or German is a plus
